1. GENERAL PROVISIONS


1.1. Purpose

 

These Terms of Use (the "Terms") set forth the conditions, rights, obligations, and responsibilities governing access to, registration for, and use of the Mokrica Platform and the products and services provided by Mokrica (collectively, the "Services").

 

Mokrica is an online platform that connects Users with translation services and related solutions, while also providing tools for Order creation, workflow management, payments, collaboration, and other features within the scope of the Services made available by Mokrica from time to time.

 

These Terms are intended to establish the legal framework governing the provision and use of the Services, define the respective rights, obligations, and responsibilities of Mokrica and its Users, and support the transparent, secure, reliable, and lawful operation of the Platform.

 

1.2. Scope of Application

 

These Terms apply to all individuals and organizations that access, register an Account for, or use the Services provided by Mokrica.

 

Depending on the Services, features, or roles involved, a User may also be subject to one or more additional legal documents published by Mokrica, including:

 

•  Privacy Policy
•  Payment and Moca Policy
•  Membership Agreement
•  Translator Agreement
•  Channel Policy

•  Any other policies, rules, guidelines, or legal documents published by Mokrica from time to time.

 

The foregoing documents form an integral part of these Terms and apply to the extent relevant to the applicable Services, features, or User roles.

 

Users may access all applicable Terms, agreements, and Policies through Mokrica's Legal Center

 

1.3. Acceptance of the Terms

 

By accessing, registering an Account for, or continuing to use the Services, the User acknowledges that the User has read, understood, and agrees to be bound by these Terms and all applicable legal documents published by Mokrica.

 

If a User does not agree to these Terms or to any legal document applicable to the Services that the User accesses or uses, the User must immediately discontinue access to or use of the relevant Services.

 

 

2. DEFINITIONS

 

Unless otherwise defined in an applicable supplemental legal document or unless the context requires otherwise, the capitalized terms used in these Terms have the meanings set forth below and shall apply consistently throughout Mokrica's agreements, policies, and other legal documents.

 

2.1. Mokrica

 

Mokrica means the online platform developed, managed, and operated by Mokrica to provide the Services, features, and solutions made available from time to time.

 

2.2. User

 

User means any individual or organization that accesses, registers an Account for, or uses the Services on the Mokrica Platform.

 

2.3. Account

 

Account means an account created on the Mokrica Platform that enables a User to access and use the Services, and to manage the User's information, permissions, and applicable features.

 

2.4. Services

 

Services means the products, features, and solutions provided or made available by Mokrica through the Platform from time to time.

 

2.5. Order

 

Order means a request for Services submitted by a User through the Mokrica Platform.

 

2.6. Customer

 

Customer means a User who uses the Services available on the Mokrica Platform.

 

2.7. Member

 

Member means a User whose Member Account has been approved and activated by Mokrica.

 

The rights, obligations, and benefits of a Member are governed by the Membership Agreement.

 

2.8. Translator

 

Translator means a User whose Translator Account has been approved and activated by Mokrica.

 

The rights and obligations of a Translator are governed by the Translator Agreement

 

2.9. Channel

 

Channel means an operational workspace on the Mokrica Platform that is created and operated in accordance with Mokrica's Channel model.

 

The rights, obligations, and operating principles applicable to a Channel are governed by the Channel Policy. 

 

2.10. Channel Owner

 

Channel Owner means an individual or organization approved and authorized by Mokrica to create, manage, and operate a Channel.

 

The rights and responsibilities of a Channel Owner are governed by the Channel Policy

 

2.11. Moca

 

Moca means the internal value unit used by Mokrica within the scope of the Services.

 

The use of Moca is governed by the Payment and Moca Policy.
 

 

3. ACCOUNTS AND USE OF THE PLATFORM


3.1. Account Registration

 

To access certain Services or features available on the Mokrica Platform, a User may be required to register an Account.

 

To register and use an Account, a User must be at least eighteen (18) years of age and possess full legal capacity under applicable law.

 

The User is responsible for providing complete, accurate, and truthful information during the registration process and is solely responsible for the legality of all information and documents submitted.

 

Mokrica reserves the right to refuse an Account registration or require the User to provide additional information or supporting documents where the registration information is incomplete, inaccurate, or does not satisfy the applicable eligibility requirements.

 

3.2. Account Activation

 

Registration of an Account does not automatically result in the activation of the Account or grant access to all Services and features available on the Platform.

 

Depending on the applicable Service, feature, or User role, Mokrica may require the User to complete identity verification or provide additional information or supporting documents before activating the Account or granting the corresponding access rights.

 

The registration and use of specialized roles, including Member, Translator, and Channel Owner, are governed by the applicable legal documents:

 

•  Membership Agreement
•  Translator Agreement
•  Channel Policy

 

3.3. Use of the Account

 

Users are responsible for using their Accounts solely for their intended purposes and in compliance with these Terms and all applicable legal documents.

 

Access to and use of particular Services or features available on the Platform depend on the applicable Account type, activation status, and any eligibility requirements or conditions applicable to those Services or features.

 

Users are responsible for all activities conducted through their Accounts unless they demonstrate that the unauthorized use was not caused by their acts or omissions.

 

3.4. Account Security

 

Users are responsible for maintaining the confidentiality of their usernames, passwords, authentication codes, and any other Account security credentials.

 

If a User becomes aware of or reasonably suspects any unauthorized access to the Account, the User should promptly change the relevant security credentials (where possible) and notify Mokrica as soon as reasonably practicable so that appropriate measures may be taken.

 

3.5. Verification and Information Updates

 

During the use of the Platform, Mokrica may require a User to verify the User's identity or provide additional information or supporting documents where reasonably necessary to ensure the accuracy of Account information, maintain the security of the Platform, or comply with applicable law.

 

Users are responsible for promptly updating their Account information whenever changes occur and for ensuring that all information provided remains accurate and up to date.

 

3.6. Suspension or Termination of Accounts

 

An Account may be suspended, restricted, or terminated in the circumstances set out in these Terms or where required by a competent governmental authority.

 

The handling of violations, suspension, restriction, or termination of an Account shall be governed by Section 8 – Violations and Termination of the Services of these Terms.

 

 

4. SERVICES AND FEATURES OF THE MOKRICA PLATFORM


4.1. Scope of the Services and Features

 

Mokrica provides the Services, features, and solutions available on the Platform to meet the needs of its Users within the scope of operations made available by Mokrica from time to time.

 

The Services and features available on the Platform may be expanded, modified, updated, or otherwise changed from time to time in order to improve the quality of the Platform, respond to Users' needs, or satisfy Mokrica's operational requirements.

 

4.2. Conditions for Using the Services and Features

 

Access to and use of particular Services or features may depend on the applicable Account type, activation status, User role, or other eligibility requirements applicable to the relevant Service or feature.

 

Certain Services or features may also be governed by separate agreements, Policies, or other legal documents published by Mokrica.

 

Such documents form an integral part of these Terms and apply concurrently to the extent relevant to the applicable Services or features.

 

4.3. Changes to the Services

 

Mokrica may add, modify, update, suspend, or discontinue all or any part of the Services or features available on the Platform in order to maintain the quality of the Services, satisfy operational requirements, or comply with applicable law.

 

Where a change materially affects a User's legitimate rights or interests, Mokrica will provide prior notice through an appropriate communication channel before the change becomes effective, unless immediate implementation is required by a competent governmental authority, is necessary for security or system protection, or is otherwise required due to a Force Majeure Event or other circumstances beyond Mokrica's reasonable control.

 

4.4. Service Availability

 

Mokrica uses commercially reasonable efforts to maintain the availability, stability, continuity, and security of the Services and features available on the Platform.

 

However, Mokrica does not warrant that any Service or feature will always operate continuously, remain uninterrupted, be error-free, or satisfy every specific requirement of a User.

 

Maintenance, system upgrades, technical failures, network interruptions, cyberattacks, or other events beyond Mokrica's reasonable control may affect the availability or operation of the Services or features available on the Platform.

 

 

5. PAYMENTS AND SERVICE FEES


5.1. Payment Principles

 

The use of certain Services or features available on the Mokrica Platform may require the User to make payment in accordance with the applicable quotation, pricing schedule, or other terms published by Mokrica from time to time.

 

By confirming the use of a Service, the User agrees to fulfill all payment obligations applicable to the Services or features that the User uses.

 

5.2. Service Fees, Taxes, and Charges

 

Service fees shall be determined in accordance with the applicable quotation, pricing schedule, or policy in effect at the time the User uses the Services.

 

Unless otherwise provided in an applicable agreement or policy, payments made by the User may include applicable taxes, fees, or other financial obligations required under applicable law.

 

Where Service fees, taxes, or other charges are adjusted pursuant to applicable law or the applicable policies, the amount payable shall be determined based on the rates in effect at the time the relevant transaction is confirmed.

 

The User is responsible for making full and timely payment of all amounts arising from the use of the Services, unless otherwise provided in an applicable agreement or policy published by Mokrica.

 

Late payment or failure to satisfy applicable payment obligations may affect the User's continued access to or use of all or part of the Services in accordance with these Terms and the applicable Policies.

 

5.3. Payment Methods and Transaction Confirmation

 

The User agrees to make payments using the payment methods supported and made available by Mokrica through the Platform.

 

The available payment methods may be added, modified, or discontinued from time to time to meet operational requirements, the requirements of payment partners, or applicable legal requirements.

 

Once a transaction has been successfully processed, Mokrica may provide the User with transaction details, invoices, electronic records, or other relevant documents (if applicable) in accordance with applicable law and the relevant Policies.

 

The User is responsible for reviewing the transaction information and must promptly notify Mokrica if any error or discrepancy is identified so that appropriate assistance may be provided.

 

5.4. Payment and Moca Policy

 

All matters relating to Moca budgets, Moca packages, payment methods, refunds, budget restoration, commissions, rewards, Customer Development Rewards (CDR), Team Manager Rewards (TMR), withdrawals, and other financial matters are governed by the Payment and Moca Policy

 

 

6. USER RIGHTS AND OBLIGATIONS


6.1. User Rights

 

While using the Mokrica Platform, the User is entitled to:

 

•  Access and use the Services and features in accordance with the applicable Account type, activation status, and eligibility requirements;
•  Receive information relating to the Services, transactions, and Policies published by Mokrica;
•  Request assistance from Mokrica in connection with the use of the Services, to the extent support is made available by Mokrica;
•  Submit complaints, feedback, or support requests in accordance with the procedures published on the Platform;
•  Have the User's personal information protected in accordance with the Privacy Policy; and
•  Enjoy any other rights provided under these Terms or the applicable agreements and Policies.


6.2. User Obligations

 

While using the Mokrica Platform, the User shall:

 

•  Comply with these Terms, all applicable agreements, Policies, and applicable law;
•  Provide complete, accurate, and up-to-date information throughout the use of the Services;
•  Maintain the security of the User's Account and remain responsible for all activities conducted through the Account in accordance with these Terms;
•  Fulfill all applicable payment obligations in full and on time, unless otherwise provided in an applicable agreement or policy published by Mokrica;
•  Reasonably cooperate with Mokrica in identity verification, complaint handling, incident response, and other matters where such cooperation is reasonably required;
•  Remain responsible for all content, documents, data, and information submitted, uploaded, or otherwise provided through the Platform, and ensure that such materials do not infringe the lawful rights or interests of any person or entity;
•  Fulfill any other obligations set out in these Terms and the applicable agreements or Policies.


Use the Services in good faith, cooperate with Mokrica in the operation of the Platform, and refrain from engaging in any conduct that may adversely affect the legitimate rights or interests of Mokrica, other Users, or any third party.

 

 

7. MOKRICA'S RIGHTS AND RESPONSIBILITIES


7.1. Mokrica's Rights

 

In operating the Platform, Mokrica has the right to:

 

•  Manage, operate, maintain, upgrade, and develop the Platform and the Services and features provided by Mokrica;
•  Require Users to provide, update, or verify information where reasonably necessary to ensure the accuracy of information, maintain the security of the Platform, or comply with applicable law;
•  Add, modify, suspend, or discontinue all or any part of the Services or features in accordance with these Terms and the applicable Policies;
•  Adopt, amend, or supplement the terms, agreements, Policies, and rules applicable to particular Services or features;
•  Monitor, detect, and take appropriate measures to prevent conduct that may violate these Terms, the applicable agreements or Policies, or applicable law;
•  Refuse, restrict, suspend, or terminate the provision of the Services in the circumstances set out in these Terms or the applicable legal documents;
•  Take such measures as are reasonably necessary to protect the legitimate rights and interests of Mokrica, its Users, and other relevant parties; and
•  Exercise any other rights available under these Terms or applicable law.


7.2. Mokrica's Responsibilities

 

In providing the Services, Mokrica shall:

 

•  Operate the Platform and provide the Services to the extent reasonably practicable and subject to its operational capabilities;
•  Publish or promptly update the terms, agreements, Policies, and other information necessary for the use of the Services;
•  Receive, review, and assist in handling Users' requests, feedback, or complaints in accordance with the procedures published by Mokrica;
•  Implement appropriate measures to protect Users' information in accordance with the Privacy Policy;
•  Use reasonable measures to maintain the stability, security, and continuity of the Platform, except where interruptions result from maintenance, system upgrades, technical failures, Force Majeure Events, or other circumstances beyond Mokrica's reasonable control;
•  Comply with applicable law in providing the Services; and
•  Fulfill any other responsibilities set out in these Terms and the applicable legal documents.

 


8. PROHIBITED CONDUCT


8.1. Violations of the Terms and Applicable Law

 

Users must not use the Mokrica Platform in any manner that violates these Terms, the applicable agreements or Policies, or applicable law.

 

Users must not use the Services to engage in any unlawful activity or to infringe the legitimate rights or interests of Mokrica, other Users, or any third party.

 

8.2. Fraud and Misrepresentation

 

Users must not engage in any fraudulent or deceptive conduct, including but not limited to:

 

•  Providing false, forged, misleading, or otherwise unsupported information, records, or documents;
•  Impersonating any individual or organization, or unlawfully using another person's information;
•  Using the Platform to commit fraud, deception, or obtain unlawful benefits; or
•  Creating or using multiple Accounts to obtain improper benefits, circumvent applicable rules, or engage in prohibited conduct on the Platform.


8.3. Interference with the Platform and System Security

 

Users must not engage in any conduct that may affect the operation, stability, or security of the Platform, including but not limited to:

 

•  Accessing the Platform without authorization or attempting to circumvent its security measures;
•  Interfering with, disrupting, or otherwise affecting the normal operation of the Platform or its systems;
•  Introducing or transmitting malware, viruses, malicious software, or other harmful code; or
•  Collecting, extracting, or using data from the Platform through unauthorized means.


8.4. Abuse of the Services and Features

 

Users must not misuse the Services, features, or programs made available by Mokrica for improper purposes or to obtain improper benefits.

 

Such conduct includes, but is not limited to:

 

•  Abusing promotional programs, incentives, or Policies offered by Mokrica;
•  Misusing Moca, Channels, or other Services or features in a manner inconsistent with their intended purpose;
•  Creating or participating in fictitious transactions, Orders, reviews, feedback, or other activities to manipulate the Platform, operational results, or Mokrica's programs;
•  Engaging in dishonest transactions or activities to obtain unlawful benefits; or
•  Sending unsolicited communications (spam) or otherwise engaging in conduct that adversely affects the experience of other Users.


8.5. Prohibited Content and Information

 

Users must not upload, transmit, store, or otherwise make available through the Platform any content or information that:

 

•  Violates applicable law;
•  Infringes any intellectual property rights, privacy rights, or other legitimate rights or interests of any individual or organization;
•  Is false, fraudulent, defamatory, abusive, discriminatory, incites violence, or is otherwise contrary to public order or accepted standards of public morality; or may adversely affect the secur

•  Ity, reputation, or operation of Mokrica, other Users, or any third party.


8.6. Other Prohibited Conduct

 

In addition to the conduct described above, Users must not engage in any activity that Mokrica reasonably determines to:

 

•  Violate these Terms, the applicable agreements or Policies, or applicable law;
•  Adversely affect the safe and stable operation of the Platform; or
•  Infringe the legitimate rights or interests of Mokrica, other Users, or any third party.

 

 

9. ENFORCEMENT AND TERMINATION OF THE SERVICES


9.1. Principles of Enforcement

 

Where Mokrica has reasonable grounds to determine that a User has violated these Terms, any applicable agreements or Policies, or applicable law, Mokrica may impose one or more enforcement measures appropriate to the nature, severity, and consequences of the violation.

 

The application of any enforcement measure does not affect Mokrica's right to require the User to remedy the violation, compensate for any resulting damages (if applicable), or exercise any other rights available under applicable law.

 

9.2. Enforcement Measures

 

Depending on the nature, severity, and consequences of the violation, Mokrica may impose one or more of the following measures:

 

•  Issue a reminder or require the User to remedy the violation.
•  Issue a warning or require the User to provide, update, or correct information.
•  Restrict access to or use of certain Services or features.
•  Suspend or lock the User's Account for a specified period.
•  Terminate the provision of all or part of the Services.
•  Refuse to provide the Services where permitted under these Terms or applicable law.
•  Take any other measures permitted under these Terms or applicable law.

 

Where necessary to protect the security of the Platform, comply with the requirements of a competent governmental authority, or prevent the risk of harm to Mokrica, its Users, or any third party, Mokrica may immediately implement appropriate enforcement measures without prior notice.

 

9.3. Termination of the Services

 

Mokrica may terminate the provision of all or part of the Services to a User in any of the following circumstances:

 

•  The User Commits a material violation of these Terms, the applicable agreements or Policies, or applicable law, or repeatedly commits such violations.
•  The User Fails to comply with Mokrica's reasonable request to remedy a violation.
•  The Continued Provision of the Services may adversely affect the security of the Platform or the legitimate rights or interests of Mokrica, other Users, or any third party.
•  Any Other Circumstances permitted under these Terms or applicable law.

 

Termination of the Services does not affect any rights, obligations, or liabilities that accrued before the effective date of termination, unless otherwise provided by an agreement between the parties or applicable law.

 

The suspension or termination of an Account, or the suspension or termination of the Services, does not release the User from any payment obligations or other obligations that arose before the applicable enforcement measure was imposed.

 

9.4. Complaints and Review of Enforcement Decisions

 

A User may submit a complaint, explanation, or additional information or supporting documents relating to Mokrica's enforcement decision in accordance with the procedures published on the Platform.

 

Mokrica will review the information and supporting documents provided and will respond within a reasonable period in accordance with the applicable procedures.

 

9.5. Cooperation with Competent Authorities

 

Where Mokrica identifies conduct that may violate applicable law, Mokrica may cooperate with competent governmental authorities, provide relevant information, or take any other necessary measures as required by applicable law and the Privacy Policy.

 

9.6. Reservation of Rights

 

Mokrica's failure to exercise, delay in exercising, or partial exercise of any right or enforcement measure under these Terms shall not constitute a waiver of its right to exercise that right or enforcement measure with respect to the same or any subsequent violation by the User.

 

The fact that a User has previously received a reminder, warning, or an opportunity to remedy a violation shall not entitle the User to expect the same enforcement measure in any future case.

 

Mokrica reserves the right to determine and apply appropriate enforcement measures based on the nature, severity, and consequences of the violation, together with the circumstances existing at the relevant time, in accordance with these Terms and applicable law.

 

 

10. CONFIDENTIALITY, DATA, AND INTELLECTUAL PROPERTY


10.1. Confidentiality of Information and Data

 

Mokrica implements appropriate measures to protect Users' information, data, and privacy in connection with the provision of the Services.

 

Users are responsible for safeguarding their Accounts, data, and other information under their control and must not disclose, use, or exploit any information belonging to or lawfully protected for the benefit of Mokrica, other Users, or any third party without proper authorization.

 

The collection, use, storage, sharing, and protection of personal data, together with other privacy-related matters, are governed by the Privacy Policy.

 

10.2. Intellectual Property Rights

 

Unless otherwise provided by applicable law or agreed between the parties, all intellectual property rights in and to the Mokrica Platform, including but not limited to its software, source code, databases, user interfaces, designs, images, icons, trademarks, logos, trade names, documentation, content, and all other components, are owned by or lawfully licensed to Mokrica.

 

Users must not copy, modify, distribute, publish, exploit, transfer, license, or otherwise use any of the foregoing intellectual property except as expressly authorized in writing by Mokrica or the relevant rights holder, or as otherwise permitted by applicable law.

 

10.3. Right to Use the Services and Content

 

A User's right to access and use the Mokrica Platform does not constitute a transfer of any ownership rights, intellectual property rights, or other rights to exploit the Services, features, content, or any other assets of Mokrica.

 

Users may use the Services, features, and content available on the Platform only to the extent permitted under these Terms, the applicable agreements or Policies, or applicable law.

 

10.4. Documents, Data, and Content Provided by Users

 

Users are responsible for the legality, accuracy, and lawful right to use any documents, data, content, or information that they upload, store, submit, or otherwise provide through the Platform.

 

Users represent and warrant that the provision of such documents, data, or content does not infringe any intellectual property rights, privacy rights, or other legitimate rights or interests of any individual or organization.

 

To the extent necessary for Mokrica to provide the Services and perform its obligations under these Terms, the User grants Mokrica permission to store, process, transmit, and use the documents, data, and content provided by the User in accordance with these Terms and the Privacy Policy.

 

Mokrica will use the documents, data, and content provided by the User only to the extent necessary to provide the Services, fulfill the User's requests, or comply with applicable law, and will implement appropriate measures to protect the confidentiality and security of such information.

 

10.5. Reference to the Privacy Policy

 

The collection, use, storage, sharing, and protection of personal data, the use of cookies, Users' rights relating to their personal data, and other privacy-related matters are governed by the Privacy Policy, which forms an integral part of these Terms. 

 

10.6. Notice of Infringement

 

If a User becomes aware of any conduct that may infringe intellectual property rights, privacy rights, or any other legitimate rights or interests through the Platform, the User may notify Mokrica using the published contact information so that the matter may be reviewed and handled in accordance with the applicable procedures.

 

 

11. LIMITATION OF LIABILITY


11.1. Scope of the Services

 

Mokrica provides the Services based on its technical capabilities, operational conditions, and applicable legal requirements.

 

Although Mokrica uses commercially reasonable efforts to maintain the stability, security, and continuity of the Platform, Mokrica does not warrant that the Services will always operate continuously, remain uninterrupted, be error-free, or satisfy every specific requirement of a User at all times.

 

11.2. Limitation of Mokrica's Liability

 

To the fullest extent permitted by applicable law, Mokrica shall not be liable for any loss or damage arising from one or more of the following circumstances:

 

•  Inaccurate, Incomplete, or Unlawful information, data, documents, or content provided by the User.
•  The User's Use of the Services in violation of these Terms, the applicable agreements or Policies, or Mokrica's instructions.
•  Acts or Omissions of the User, any third party, or any service provider beyond Mokrica's reasonable control.
•  Failures or Disruptions relating to devices, software, telecommunications, Internet connectivity, or technical infrastructure for which the User or a third party is responsible.
•  Any Other Cause or Event beyond Mokrica's reasonable control.


11.3. Maintenance and Service Interruptions

 

To maintain the quality, security, and operational reliability of the Platform, Mokrica may temporarily suspend or restrict all or part of the Services for maintenance, upgrades, inspections, troubleshooting, or to meet technical, security, or operational requirements.

 

Where maintenance or a Service interruption is likely to have a material impact on Users, Mokrica will provide notice through an appropriate communication channel, except in emergencies or where prior notice is not reasonably practicable.

 

11.4. Force Majeure

 

Mokrica shall not be liable for any delay, interruption, or failure to provide the Services resulting from a Force Majeure Event, including but not limited to:

 

•  Natural Disasters, fire, floods, or epidemics.
•  War, civil unrest, strikes, or other events affecting public security or social order.
•  Power Outages, failures of telecommunications infrastructure, Internet disruptions, or cyberattacks.
•  Decisions, Orders, or Measures of competent governmental authorities.
•  Other Events beyond Mokrica's reasonable control.


11.5. Limitation of Damages

 

Unless otherwise required by applicable law or where the damage results directly from Mokrica's willful misconduct or gross negligence, Mokrica shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, loss of business opportunities, loss of data, or any similar losses arising out of or relating to the User's use of, or inability to use, the Services.

 

Users are responsible for taking reasonable measures to prevent and mitigate any losses or damages that may arise in connection with their use of the Services.

 

11.6. Third-Party Services

 

Where the Services provided by Mokrica integrate with, link to, or otherwise use products, services, or systems provided by third parties, Mokrica shall not be responsible for the content, quality, availability, continuity, or any loss or damage arising from such third-party products, services, or systems, unless otherwise required by applicable law or where such loss or damage results from Mokrica's fault.

 

11.7. Scope of the Limitation of Liability

 

The limitations of liability set out in these Terms apply only to the fullest extent permitted by applicable law and do not limit any rights or obligations of Mokrica or the User where applicable law provides otherwise.

 

11.8. User's Duty to Protect Their Own Interests

 

Users are responsible for safeguarding their Accounts, devices, data, login credentials, and documents while using the Services, and for implementing appropriate backup, security, and risk prevention measures.

 

Mokrica shall not be liable for any loss or damage arising from a User's failure to implement reasonable security measures or to follow the security recommendations published by Mokrica.

 

 

12. EFFECTIVE DATE AND GENERAL PROVISIONS


12.1. Effective Date

 

These Terms become effective on the date they are published by Mokrica on the Platform or on such other date as specified in Mokrica's notice.

 

A User's continued access to the Platform, registration of an Account, or use of the Services after these Terms become effective constitutes the User's acknowledgment that the User has read, understood, and agrees to be bound by these Terms and the applicable agreements and Policies.

 

12.2. Amendments to the Terms

 

Mokrica may amend, supplement, or update these Terms as necessary to reflect changes to the Services, operational requirements, or applicable law.

 

Any revised version will be published on the Platform or otherwise communicated through an appropriate communication channel and will become effective upon publication or on the effective date specified in the relevant notice.

 

A User's continued use of the Services after the revised Terms become effective constitutes the User's acceptance of those amendments.

 

12.3. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of Vietnam.

 

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation and amicable settlement between the parties.

 

If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to the competent court or other competent governmental authority in accordance with applicable law.

 

12.4. Severability

 

If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision shall be modified or severed only to the extent necessary, and the validity and enforceability of the remaining provisions shall remain unaffected.

 

12.5. Order of Precedence

 

These Terms constitute the general legal document governing access to and use of the Services provided through the Mokrica Platform.

 

Where a particular Service, feature, or category of Users is subject to a separate agreement or Policy, the applicable agreement or Policy shall prevail with respect to the matters specifically governed by that document.

 

If these Terms do not address a particular matter, or if there is any inconsistency between these Terms and an applicable supplemental agreement or Policy regarding the same subject matter, the supplemental agreement or Policy shall prevail to the extent of the matters it governs, unless that supplemental agreement or Policy expressly provides otherwise.

 

12.6. Language

 

These Terms may be published by Mokrica in multiple languages.

 

In the event of any inconsistency between different language versions, the Vietnamese version shall prevail for purposes of interpretation and enforcement, unless otherwise provided by Mokrica or required by applicable law.

 

12.7. Entire Agreement

 

These Terms, together with the following documents:

 

•  Privacy Policy
•  Payment and Moca Policy 
•  Membership Agreement 
•  Translator Agreement 
•  Channel Policy 
•  Any Other Policies or Agreements published by Mokrica from time to time, if applicable,

 

constitute the entire legal framework governing access to, registration for, and use of the Services available on the Mokrica Platform.

Any request for assistance, feedback, complaint, or other matter relating to these Terms may be submitted to Mokrica using the contact information published on the Platform.

1. INTRODUCTION


1.1 Purpose

 

This Privacy Policy ("Policy") sets out the principles, scope, and methods applied by Mokrica in collecting, recording, storing, using, processing, sharing, and protecting data generated when Users access, register an account, use the Services, or otherwise interact with the Mokrica Platform.


This Policy is established to protect the legitimate rights and interests of Users in relation to their data; to ensure that data processing is carried out in a transparent, secure, purpose-specific, and lawful manner; and to contribute to a trusted environment for transactions, collaboration, and the provision of Services on the Mokrica Platform.


Mokrica is committed to respecting the privacy of its Users and implementing appropriate administrative, technical, and organizational measures to protect data throughout the provision of its Services.

 

1.2. Scope of Application


This Policy applies to all activities involving the collection, processing, storage, use, sharing, and protection of data arising from Users' access to or use of the Mokrica Platform, including but not limited to:


•  Registering, managing, and using an account; 
•  Using the Services provided by Mokrica; 
•  Creating, accepting, and managing Orders; 
•  Using Moca and related programs; 
•  Participating as a Member, Translator, or Channel Owner; 
•  Registering or using a Channel; 
•  Uploading documents, content, or data to the Platform; 
•  Communicating, contacting, or interacting with Mokrica through the Platform's features; 
•  Any other activities arising from the use of the Services. 


This Policy applies to all Users, including but not limited to Customers, Members, Translators, Channel Owners, Enterprises, and any other individuals or organizations that use or are otherwise related to Mokrica's Services.

 

1.3. Acceptance of this Policy


By accessing the Mokrica Platform, registering an account, using the Services, or continuing to use the Platform, the User acknowledges that they have read, understood, and agreed to be bound by this Policy.


If the User does not agree with any part of this Policy, the User should discontinue accessing or using Mokrica's Services.


To the extent permitted by applicable law, a User's continued use of the Services after this Policy has been amended or updated constitutes acceptance of such amendments or updates.

 

1.4. Relationship with Other Legal Documents


This Policy forms an integral part of Mokrica's legal documentation framework and shall be applied together with the Terms of Use and other agreements, policies, and legal documents published by Mokrica.


For matters governed by a specific legal document, the corresponding document shall apply, including but not limited to:


•  Terms of Use, governing the general rules for accessing and using the Services, the rights and obligations of Users, handling of violations, limitation of liability, intellectual property rights, governing law, and dispute resolution; 
•  Member Agreement, governing the registration, use, rights, and obligations of Members; 
•  Translator Agreement, governing the registration, approval, acceptance, and performance of Orders by Translators; 
•  Channel Policy, governing the establishment, management, development, and operation of Channels; 
•  Payment & Moca Policy, governing Moca, Moca Packages, payments, refunds, Moca limit restoration, commissions, rewards, CDR, TMR, and other financial matters; 
•  Any other legal documents published by Mokrica from time to time. 


In the event of any inconsistency between this Policy and a specific legal document of Mokrica with respect to the same subject matter, the specific legal document shall prevail within its respective scope of application.

 


2. DATA COLLECTION


2.1. Principles of Data Collection


Mokrica collects data only to the extent necessary to establish, operate, provide, and improve the Services; perform the rights and obligations of the relevant parties; maintain the security of the Platform; and comply with applicable legal requirements.


Data is collected in a transparent manner, for legitimate purposes, and in accordance with the specific Services used by the User. Mokrica does not require Users to provide unnecessary data or data beyond what is reasonably required for the provision of the Services, unless otherwise required by applicable law or voluntarily provided by the User.


During the User's use of the Platform, the scope of data collected may vary depending on the User's role, the Services used, the features enabled, or the requirements of a particular transaction.

 

2.2. Data Provided by Users


Mokrica may collect data that is voluntarily provided by Users when registering an account, using the Services, or interacting with the Platform.


Such data may include, but is not limited to:


•  Identification and contact information; 
•  Account information; 
•  Business or organizational information (if applicable); 
•  Information required for identity verification or account verification; 
•  Information required for payment processing, invoicing, or the fulfillment of financial obligations; 
•  Member, Translator, or Channel Owner profile information; 
•  Information relating to professional qualifications, language pairs, areas of expertise, or work experience (where relevant to the Services); 
•  Documents, translation content, images, files, data, or other materials uploaded while using the Services; 
•  Communications, feedback, support requests, suggestions, or complaints; 
•  Any other data voluntarily provided by the User or generated in connection with the use of the Services. 


Users are responsible for ensuring that the data they submit to Mokrica is accurate, complete, lawful, and that they have the legal right to provide such data.

 

2.3. Data Collected Automatically


When a User accesses or uses the Platform, Mokrica may automatically collect certain data to ensure the stable operation of the Platform, improve the User experience, and enhance information security.


Such data may include, but is not limited to:


•  IP address; 
•  Information about the device used to access the Platform; 
•  Operating system and browser information; 
•  Device identifiers or session identifiers (where applicable); 
•  Access logs and usage timestamps; 
•  Information regarding activities performed on the Platform; 
•  Technical data required for the operation of the Platform; 
•  Data collected through Cookies or similar technologies as described in this Policy. 


The collection of technical data is not intended to identify the User, except where necessary to maintain system security, prevent fraud, investigate incidents, resolve technical issues, or otherwise comply with applicable law.


2.4. Data Generated Through the Use of the Services


During the User's use of the Services, Mokrica may record data generated in connection with the administration, provision of the Services, and operation of the Platform.


Such data may include, but is not limited to:


•  Order information; 
•  Transaction information; 
•  Information relating to Moca and Moca Packages; 
•  Service usage history; 
•  Information relating to Channels, Members, or Enterprises involved; 
•  Service processing status and progress; 
•  Payment information, invoices, and related supporting documents; 
•  Notifications, messages, or other interactions on the Platform; 
•  Any other data generated through the use of the Services.

 
Such data is collected and recorded to facilitate the provision of the Services, manage transactions, provide User support, resolve complaints, maintain the security and operation of the Platform, and fulfill the data processing purposes set out in this Policy.

 

2.5. Data Obtained from Third Parties


To the extent permitted by applicable law, Mokrica may collect or receive data from third parties for the purpose of providing the Services or fulfilling its legal obligations.


Such data may be obtained from, including but not limited to:


•  Service providers; 
•  Payment service providers; 
•  Identity verification service providers; 
•  Technology infrastructure providers; 
•  Users or organizations authorized by the User; 
•  Competent governmental authorities; 
•  Other lawful sources as permitted by applicable law. 


Mokrica will process data obtained from third parties only where there is a lawful basis for doing so and only for purposes consistent with this Policy and the intended use of such data.

 

 

3. PURPOSES OF DATA PROCESSING


3.1. Principles of Data Processing


Mokrica processes Users' data based on lawful, transparent, and legitimate purposes that are consistent with the scope of the Services provided. All data processing activities are carried out for the purposes of operating the Platform, providing the Services, fulfilling the rights and obligations of the relevant parties, or complying with applicable legal requirements.


Mokrica processes data only to the extent necessary to achieve the identified purposes and does not use Users' data for purposes unrelated to or inconsistent with this Policy, unless otherwise consented to by the User or required by applicable law.

 

As the Platform evolves, Mokrica may introduce or modify its data processing methods where necessary, provided that such processing remains consistent with the purposes set out in this Policy and applicable law.

 

3.2. Purposes of Data Processing


Depending on the type of Services used and the User's role, Mokrica may process data for one or more of the following purposes:


•  Registering, managing, and verifying User accounts; 
•  Providing, operating, and maintaining the Services on the Platform; 
•  Receiving, processing, coordinating, and managing Orders; 
•  Processing transactions, payments, invoicing, and related financial operations; 
•  Managing the use of Moca, Moca Packages, and programs operated by Mokrica; 
•  Managing Channels, Members, Translators, Enterprises, and other participants on the Platform; 
•  Receiving, processing, and responding to support requests, feedback, or complaints; 
•  Sending notifications, confirmations, alerts, and other Service-related communications; 
•  Conducting verification where necessary; 
•  Detecting, preventing, and addressing fraud, abuse, or violations of Mokrica's policies; 
•  Maintaining the security, integrity, and stability of the Platform; 
•  Performing rights and obligations under the Terms of Use, Mokrica's agreements and policies, or applicable law; 
•  Any other lawful purposes consistent with this Policy.

 

3.3. Data Processing Based on Services and User Roles


As Mokrica provides a variety of Services and supports multiple categories of Users, data may be processed differently depending on the specific Service used or the User's role.


Data processing may occur when a User uses the Services as a Customer, Member, Translator, Channel Owner, Enterprise, or in any other role made available by Mokrica.


For each Service or User role, Mokrica processes only the data necessary to perform the relevant functions and to ensure that the Services are provided accurately, continuously, and in accordance with their intended purposes.

 

3.4. Improving, Developing, and Securing the Platform


Mokrica may process data for the following purposes:


•  Improving the quality of the Services; 
•  Enhancing the User experience; 
•  Developing or optimizing Platform features; 
•  Analyzing the performance of the Platform; 
•  Maintaining, testing, and upgrading technical infrastructure; 
•  Detecting, preventing, and responding to information security risks; 
•  Protecting the legitimate rights and interests of Users, Mokrica, and other relevant parties. 


In carrying out these activities, Mokrica seeks to process only the data necessary for the relevant purposes and implements appropriate measures to minimize any impact on Users' privacy.

 

3.5. Limitations on the Purposes of Data Processing


Mokrica does not process Users' data for purposes other than those specified in this Policy, except in the following circumstances:


•  The User has requested or consented to such processing; 
•  The processing is necessary to provide the Services requested by the User; 
•  The processing is required to comply with applicable law; 
•  The processing is necessary to protect the legitimate rights and interests of the User, Mokrica, or a third party; 
•  Any other circumstances permitted or required by applicable law. 


Where there is a material change to the purposes of data processing, Mokrica will update this Policy or notify Users through appropriate means before such changes take effect, unless otherwise required or permitted by applicable law.

 

 

4. DATA SHARING


4.1. Principles of Data Sharing


Mokrica shares data only to the extent necessary to provide the Services, operate the Platform, perform the rights and obligations of the relevant parties, or comply with applicable legal requirements.


Data sharing is carried out on the principles of purpose limitation, data minimization, disclosure only to appropriate recipients, and the implementation of appropriate safeguards to protect the legitimate rights and interests of Users.


Mokrica does not share Users' data for purposes unrelated to the provision of the Services unless the User has given consent or such sharing is otherwise required or permitted by applicable law.

 

4.2. Data Sharing for the Provision of Services


In the course of providing the Services, Mokrica may share the data necessary with relevant parties to facilitate the delivery, administration, and completion of the Services in accordance with the functions of the Platform.


Depending on the type of Service or a particular transaction, data may be shared with:


•  Customers; 
•  Members; 
•  Translators; 
•  Channel Owners; 
•  Enterprises; 
•  Other Users involved in the same Order or Service; 
•  Partners or third parties designated or authorized by the User; 
•  Other parties as required by the functions of the Platform. 


Mokrica shares only the data necessary to perform the relevant functions and does not disclose data beyond what is required for the provision of the Services.

 

4.3. Data Sharing with Service Providers


To ensure the stable operation of the Platform and the provision of the Services, Mokrica may share data with service providers that support its operations.


Such service providers may include, but are not limited to:


•  Technology infrastructure providers; 
•  Data hosting and storage providers; 
•  Payment service providers; 
•  Identity verification service providers; 
•  Security service providers; 
•  Notification and communication service providers; 
•  Technical support and customer support service providers; 
•  Other service providers supporting the operation of the Platform. 


These service providers are authorized to process data only to the extent necessary to perform the services requested by Mokrica and are required to implement appropriate data protection measures in accordance with contractual obligations and applicable law.

 

4.4. Data Sharing as Required by Law


Mokrica may share data in the following circumstances:


•  To comply with applicable legal obligations; 
•  In response to a lawful request from a competent governmental authority; 
•  For the resolution of disputes, complaints, or legal claims; 
•  To prevent, detect, investigate, or address fraud, unlawful activities, or activities that may affect the security of the Platform; 
•  To protect the legitimate rights and interests of Users, Mokrica, or third parties; 
•  In any other circumstances permitted or required by applicable law. 

 

4.5. Data Sharing at the User's Request or with the User's Consent


In addition to the circumstances described in this Policy or required by applicable law, Mokrica may share data at the User's request or with the User's consent for the purpose of enabling a specific Service, feature, or program available on the Platform.


In such cases, data will be shared only to the extent requested or authorized by the User.

 

4.6. Data Transfer in Connection with Business Changes


If Mokrica undergoes a corporate reorganization, merger, consolidation, division, business transfer, or any similar transaction permitted by applicable law, data may be transferred to the extent necessary to facilitate such transaction.


Any recipient of the transferred data shall remain responsible for processing and protecting the data in accordance with this Policy and applicable law.

 

4.7. Limitations on Data Sharing


Except as provided in this Policy, at the User's request or with the User's consent, or as required or permitted by applicable law, Mokrica does not share Users' data with any third party.


All data sharing activities are carried out solely to the extent necessary, for purposes consistent with the intended processing of the data, and subject to appropriate safeguards designed to protect the legitimate rights and interests of Users.

 


5. DATA RETENTION AND PROTECTION


5.1. Principles of Data Retention


Mokrica retains data only for as long as necessary to provide the Services, operate the Platform, fulfill the rights and obligations of the relevant parties, comply with applicable legal requirements, and protect the legitimate rights and interests of Users, Mokrica, and other relevant parties.


Data is retained in accordance with the data processing purposes set out in this Policy. Mokrica does not retain data for longer than necessary unless a longer retention period is required or permitted by applicable law or supported by another lawful basis.

 

5.2. Data Retention Period


The retention period for data is determined based on the purposes of processing, the type of data, the nature of the Services, applicable legal requirements, and the need to protect the legitimate rights and interests of the relevant parties.


Different categories of data or specific Services may be subject to different retention periods to ensure that data is managed in a manner consistent with its intended purposes and applicable law.

 

5.3. Data Protection Measures


Mokrica implements appropriate administrative, technical, and organizational measures to protect data against unauthorized access, use, modification, disclosure, loss, or destruction.


Such measures may include, but are not limited to:


•  Access control and authorization management; 
•  Account authentication and appropriate security mechanisms; 
•  Data encryption where appropriate; 
•  Data backup and recovery; 
•  System monitoring; 
•  Security measures for information technology infrastructure; 
•  Other administrative, technical, and organizational safeguards appropriate from time to time. 


Mokrica may supplement, modify, or enhance its data protection measures to meet operational requirements, technological developments, information security standards, or applicable legal requirements.

 

5.4. System Logs and Auditing


In operating the Platform, Mokrica may collect and retain system logs, access logs, technical data, and other operational information for the following purposes:


•  Maintaining the security, integrity, and stability of the Platform; 
•  Monitoring system operations; 
•  Detecting, preventing, and addressing fraud or unauthorized access; 
•  Investigating incidents and resolving complaints or disputes; 
•  Conducting internal audits; 
•  Complying with lawful requests from competent governmental authorities. 


Such data is collected and retained only to the extent necessary to achieve the purposes described above and in accordance with this Policy.

 

5.5. Deletion, Destruction, and Anonymization of Data


When data is no longer required for processing or the applicable retention period has expired, Mokrica may take one or more of the following actions:


•  Delete the data; 
•  Destroy the data; 
•  Anonymize the data; 
•  Cease processing the data; or 
•  Apply any other measures permitted or required by applicable law. 


The deletion, destruction, or anonymization of data shall not apply where Mokrica is required to retain or continue processing such data under applicable law or another lawful basis.

 

5.6. Information Security Incident Response


Where Mokrica becomes aware of, or has reasonable grounds to believe that, a data security incident has occurred, Mokrica may implement appropriate measures to:


•  Identify the cause, scope, and impact of the incident; 
•  Prevent or mitigate potential damage; 
•  Restore the operation of the Platform where appropriate; 
•  Notify or cooperate with competent governmental authorities and relevant parties where required by applicable law or where deemed necessary. 

 

5.7. Limitations on Data Security


Mokrica is committed to implementing appropriate administrative, technical, and organizational measures to protect data in accordance with this Policy.


However, no method of transmitting data over the Internet or storing electronic data can be guaranteed to be completely secure.

 

Accordingly, Mokrica cannot guarantee absolute security but will make reasonable efforts to prevent, detect, and respond promptly to security incidents that may arise.

 

 


6. USERS' RIGHTS AND RESPONSIBILITIES


6.1. Principles for Exercising Rights


Mokrica respects and facilitates Users' rights regarding their data in accordance with this Policy and applicable law.


To protect data security and the legitimate interests of all relevant parties, Mokrica may require Users to verify their identity or provide necessary information before reviewing and processing any request.


The exercise of Users' rights is subject to applicable law and may vary depending on the nature of the relevant Service.

 

6.2. Right to Access, Update, and Correct Data


Users have the right to access, review, update, or request the correction of their data if such data is inaccurate, incomplete, or has changed.
To the extent supported by the Platform, Users may directly manage or update certain data through their accounts.


Where specific data cannot be updated through the Platform, Users may submit a request to Mokrica for review and assistance in accordance with the applicable procedures.

 

6.3. Right to Request Deletion, Restriction, or Object to Data Processing


Where permitted by applicable law, Users may request that Mokrica:


•  Delete their data; 
•  Restrict the processing of their data; 
•  Object to the processing of their data; or 
•  Exercise any other rights provided under applicable law. 


Mokrica will review each request based on the purposes of data processing, the legitimate rights and interests of the relevant parties, Mokrica's legal obligations, and the applicable legal requirements.


The exercise of these rights may result in the suspension or discontinuation of certain Services where the relevant data is necessary for the operation of the Platform or the provision of the Services.

 

6.4. Right to Withdraw Consent and Submit Requests


Where data processing is based on the User's consent, the User has the right to withdraw such consent in accordance with applicable law.
The withdrawal of consent does not affect the lawfulness of any data processing carried out prior to Mokrica's receipt of the withdrawal request.


Users may also submit requests, feedback, or complaints relating to the processing of their data through the support channels made available by Mokrica.


Mokrica will receive, review, and respond to such requests within a reasonable period, taking into account the nature and complexity of each request.

 

6.5. Limitations on the Exercise of Rights


Mokrica may refuse or limit the fulfillment of all or part of a User's request in the following circumstances:


•  The User's identity cannot be verified; 
•  The request falls outside the scope of rights provided under applicable law; 
•  The data must be retained to comply with legal obligations; 
•  The data is required for the resolution of disputes, complaints, or investigations; 
•  Complying with the request may adversely affect the legitimate rights or interests of other Users, Mokrica, or third parties; 
•  Any other circumstances permitted or required by applicable law. 


Where Mokrica refuses or limits a request, the User will be notified through appropriate means unless otherwise prohibited or restricted by applicable law.

 

6.6. Users' Responsibilities


Users are responsible for:


•  Providing complete, accurate, and lawful data to the extent necessary for the use of the Services; 
•  Promptly updating any data that has changed to ensure its accuracy; 
•  Providing third-party data only where they have the legal authority or the required consent under applicable law; 
•  Ensuring that the data they provide does not infringe upon the legitimate rights or interests of any other individual or organization; 
•  Cooperating with Mokrica in verifying information or processing data-related requests when reasonably requested; 
•  Remaining responsible for the legality of the data they provide to Mokrica. 


Where Mokrica has reasonable grounds to believe that the data provided is inaccurate, incomplete, no longer relevant to the purposes of processing, or indicates a potential violation of applicable law, Mokrica may require the User to verify, supplement, or update such data.


If the User fails to comply within a reasonable period, Mokrica may suspend or restrict the relevant Services until the verification process has been completed.

 

 

7. DOCUMENT AND INFORMATION CONFIDENTIALITY


7.1. Principles of Confidentiality


Mokrica respects and protects the confidentiality of all documents, content, and information provided or generated by Users in the course of using the Services.


Access to, use, storage, and processing of such documents shall be limited to what is necessary for the provision of the Services, the operation of the Platform, or other lawful purposes in accordance with this Policy and applicable law.

Mokrica does not use Users' documents for purposes beyond the provision of the Services unless there is a lawful basis or the User's consent.

 

7.2. Scope of Confidential Documents and Information


Depending on the nature of the Services, the documents and information protected under this Policy may include, but are not limited to:


•  Translation documents; 
•  Enterprise records; 
•  Legal documents; 
•  Contracts; 
•  Reports; 
•  Technical documentation; 
•  Financial records; 
•  Communications between the relevant parties; 
•  Images, files, and data uploaded to the Platform; 
•  Any other documents or information that, by their nature or by agreement, are required to be kept confidential. 


The omission of any document or information from the above list does not mean that it falls outside the scope of confidentiality where its nature or applicable law requires confidential treatment.

 

7.3. Access to and Use of Documents


Mokrica applies the principle of "access on a need-to-know basis" to all User documents.


Only individuals, departments, or service providers directly responsible for operating the Platform, supporting Users, or providing the Services may access such documents, and only to the extent necessary to perform their assigned responsibilities.


Authorization to access documents does not grant the right to copy, exploit, use, disclose, or transfer such documents for any purpose beyond the authorized scope.

 

7.4. Confidentiality Obligations of Parties Involved in the Services


Individuals, organizations, and service providers participating in the provision of the Services through the Platform are responsible for:


•  Using documents solely for the performance of their assigned responsibilities; 
•  Not using documents for purposes outside the provision of the Services; 
•  Not copying, transferring, or sharing documents in violation of Mokrica's policies or applicable law; 
•  Implementing appropriate measures to protect documents during processing; 
•  Complying with confidentiality obligations under applicable contracts, agreements, or Mokrica's policies. 


Where applicable law or an agreement between the relevant parties requires the execution of a Non-Disclosure Agreement ("NDA"), the parties shall comply with the terms of such agreement.

 

7.5. Ownership of Documents


A User's upload, submission, or provision of documents to Mokrica does not constitute a transfer of ownership, copyright, or any other intellectual property rights in such documents, unless otherwise agreed in writing by the relevant parties or required by applicable law.


Mokrica acquires no commercial exploitation rights in relation to Users' documents beyond what is necessary for the provision of the Services.

 

7.6. Use of Documents for the Provision of Services


To the extent necessary, Mokrica may use Users' documents for the following purposes:


•  Fulfilling Orders; 
•  Performing quality assurance for the Services; 
•  Providing User support; 
•  Processing revision requests; 
•  Resolving complaints or disputes; 
•  Complying with applicable legal obligations; 
•  Any other lawful purposes directly related to the provision of the Services. 


The use of such documents shall at all times be limited to what is reasonably necessary to achieve the above purposes.

 

7.7. Response to Confidentiality Incidents


Where Mokrica becomes aware of, or has reasonable grounds to believe that, a User's documents or information have been accessed, used, or shared without authorization, Mokrica may implement appropriate measures to:


•  Determine the cause and scope of the incident; 
•  Prevent or mitigate potential harm; 
•  Remedy the incident where appropriate; 
•  Notify or cooperate with competent governmental authorities and relevant parties where required by applicable law or where deemed necessary. 


With respect to individuals, organizations, or service providers that breach their confidentiality obligations, Mokrica may take appropriate actions in accordance with applicable contracts, agreements, internal policies, or applicable law.

 

 

8. COOKIES AND SIMILAR TECHNOLOGIES


8.1. Purpose of Using Cookies and Similar Technologies


Mokrica may use Cookies and similar technologies to support the operation of the Platform, enhance the User experience, maintain system security, and improve the quality of the Services.


The use of Cookies and similar technologies is carried out in accordance with the operational purposes of the Platform, this Policy, and applicable law.

 

8.2. Types of Cookies and Similar Technologies


When Users access or use the Platform, Mokrica may use one or more types of Cookies or similar technologies, including but not limited to:


•  Cookies necessary for the operation of the Platform; 
•  Cookies that remember User preferences and settings; 
•  Cookies that support user authentication and maintain login sessions; 
•  Cookies used for analytics, statistics, and improving the performance of the Platform; 
•  Cookies used for technical functions or other lawful purposes related to the provision of the Services. 


Mokrica may add, modify, or update the types of Cookies used from time to time to meet operational needs or comply with applicable legal requirements.

 

8.3. Purposes of Processing Data Through Cookies


Information collected through Cookies and similar technologies may be used to:


•  Identify and authenticate Users while using the Services; 
•  Remember User preferences and settings; 
•  Maintain login sessions; 
•  Analyze the performance and effectiveness of the Platform; 
•  Detect and prevent unauthorized access or fraudulent activities; 
•  Improve the performance, stability, and overall User experience of the Services; 
•  Fulfill other lawful purposes related to the operation of the Platform. 


Information processed through Cookies is limited to what is reasonably necessary to achieve the purposes described above.

 

8.4. Cookie Management


Users may choose to accept, reject, delete, or manage Cookies through the settings of their browser or device, subject to the capabilities of the relevant platform or software.


Disabling or restricting the use of Cookies may affect the availability or functionality of certain features of the Platform.


Mokrica shall not be responsible for any limitations in functionality or User experience resulting from a User's decision to disable or modify Cookie settings on their device.

 

8.5. Third-Party Cookies


In the course of providing the Services, the Platform may use services or tools provided by third parties, which may place Cookies or similar technologies on the User's device.


The collection and processing of data through third-party Cookies are governed by the respective privacy policies or cookie policies of those third parties and applicable law.


Mokrica encourages Users to review the privacy policies or cookie policies of the relevant third parties when using services or features integrated with third-party technologies.

 

 

9. DATA TRANSFERS


9.1. Principles of Data Transfers


To the extent necessary to provide the Services, operate the Platform, or comply with applicable legal requirements, Mokrica may transfer data between systems, technical infrastructure, or relevant entities to ensure the continuous, secure, and efficient processing of data.


Data transfers are carried out solely for the applicable processing purposes, within the appropriate scope, and subject to appropriate safeguards in accordance with this Policy and applicable law.

 

9.2. Data Transfers for the Provision of Services


In the course of operating the Platform, data may be transferred between systems or technical infrastructure managed or used by Mokrica for the following purposes:


•  Providing and maintaining the Services; 
•  Storing or backing up data; 
•  Synchronizing data across Platform functions; 
•  Restoring data in the event of a system incident; 
•  Maintaining the continuity, stability, and security of the Platform; 
•  Any other lawful purposes directly related to the provision of the Services. 


Such data transfers do not change the purposes of data processing set out in this Policy.

 

9.3. Data Transfers Through Supporting Services


To provide the Services or improve operational efficiency, Mokrica may use services or technical infrastructure provided by third-party service providers.


In such cases, data may be processed or stored through the systems of those service providers to the extent necessary for the provision of the Services.


Mokrica selects appropriate service providers and requires them to implement suitable data protection measures in accordance with contractual obligations and applicable law.

 

9.4. Data Transfers as Required by Law


Where a data transfer is required by a competent governmental authority or applicable law, Mokrica will carry out such transfer only to the extent required and in accordance with the applicable legal procedures and conditions.

 

9.5. Safeguards for Data Transfers


When transferring data, Mokrica implements appropriate administrative, technical, and organizational measures to minimize the risks of data loss, unauthorized access, or misuse.


Data transfers do not affect the data protection principles, Users' rights, or Mokrica's obligations under this Policy.

 

 

10. CHANGES AND UPDATES TO THIS POLICY


10.1. Right to Modify and Update the Policy


Mokrica reserves the right to modify, supplement, or update this Policy to reflect the development of the Platform, the introduction or modification of the Services, changes in data management requirements, applicable legal requirements, or other operational needs.


Any modification or update to this Policy is intended to protect the legitimate rights and interests of Users, enhance the level of data protection, and ensure that this Policy remains appropriate for the operation of the Platform.

 

10.2. Notice of Policy Updates


When this Policy is modified or updated, Mokrica may publish or notify Users through one or more appropriate channels, including but not limited to:


•  Publishing the updated Policy on the Platform; 
•  Displaying notifications within the User's account; 
•  Sending email notifications; 
•  Providing notifications through the application or website; or 
•  Any other appropriate means of communication. 


Unless otherwise required by applicable law, the revised Policy shall become effective upon publication or on the effective date specified in Mokrica's notice.

 

10.3. Effect of the Updated Version


From the effective date of any modification or update, the revised version of this Policy shall supersede the corresponding provisions of all previous versions to the extent of such modification.


The amendment of one or more provisions of this Policy shall not affect the validity or enforceability of the remaining provisions.

 

10.4. Continued Use of the Services


A User's continued access to or use of the Platform after a revised or updated version of this Policy becomes effective constitutes the User's acknowledgment that they have read, understood, and accepted the revised Policy, unless otherwise provided by applicable law.


If a User does not agree with the revised Policy, the User may discontinue using the Services in accordance with the Terms of Use and other applicable legal documents published by Mokrica.

 


11. GENERAL PROVISIONS


11.1. Effective Date


This Policy shall take effect from the date it is published by Mokrica on the Platform or from the effective date specified in Mokrica's notice.


This Policy applies throughout the period during which a User accesses the Platform, registers an account, or uses the Services, unless otherwise provided by applicable law or specified by Mokrica.

 

11.2. Relationship with Other Legal Documents


This Policy shall be interpreted and applied together with the Terms of Use, Payment & Moca Policy, Member Agreement, Translator Agreement, Channel Policy, and any other legal documents published by Mokrica.

 

Where a matter is specifically governed by a separate legal document, that document shall prevail within its respective scope of application.

 

11.3. Severability


If any provision of this Policy is determined to be invalid, unenforceable, or otherwise ineffective under applicable law, that provision shall be deemed severable to the extent necessary and shall not affect the validity, legality, or enforceability of the remaining provisions.


The remaining provisions of this Policy shall continue in full force and effect.

 

11.4. Interpretation and Application


Mokrica reserves the right to interpret and apply this Policy in accordance with its purpose, the relevant legal documents published by Mokrica, and applicable law.


Any interpretation and application of this Policy shall be made in a manner that protects the legitimate rights and interests of Users, Mokrica, and other relevant parties.

 

11.5. Governing Language


This Policy may be made available in multiple languages for the convenience of Users.


In the event of any inconsistency or conflict between different language versions of this Policy, the Vietnamese version shall prevail, unless otherwise required by applicable law or expressly stated by Mokrica.

1. INTRODUCTION


1.1. Purpose of this Agreement


This Translator Agreement ("Agreement") sets out the principles, rights, obligations, and responsibilities applicable to Translators when registering, completing account verification, accepting and performing Translation Orders, and using the features available to Translators on the Mokrica platform.


This Agreement is intended to establish a transparent legal framework governing the activities of Translators, safeguard the quality of the Services and the lawful rights and interests of Users, and enable Mokrica to manage, operate, and develop its platform in a secure, transparent, and sustainable manner.


1.2. Scope of Application


This Agreement applies to all Users who register for, are approved for, or use a Translator Account on the Mokrica platform.


For the purposes of this Agreement, a Translator is a User whose Translator Account has been approved and activated by Mokrica, enabling the User to accept and perform Translation Orders in accordance with the functions, eligibility requirements, and operating procedures established by Mokrica.


By registering for, activating, or continuing to use a Translator Account, or by accepting or performing Translation Orders through the Mokrica platform, the User acknowledges that they have read, understood, and agreed to be bound by this Agreement.


1.3. Relationship with Other Legal Documents


This Agreement forms an integral part of the Terms of Use and shall be interpreted and applied together with the other applicable legal documents published by Mokrica.


When registering, completing account verification, accepting or performing Translation Orders, or using the platform's features, a Translator is responsible for complying with this Agreement as well as all other applicable legal documents issued by Mokrica that relate to the Translator's activities.


Depending on the scope of the Translator's activities, the applicable legal documents may include, without limitation:


•    Terms of Use
•    Payment & Moca Policy
•    Privacy Policy
•    Channel Policy (where the Translator participates in or performs Services through a Channel); 
•    Member Agreement (where the Translator is also a Member); and 
•    Any other legal documents published or updated by Mokrica from time to time. 


Where this Agreement does not address a particular matter, or where its provisions are incomplete with respect to a specific issue, the relevant provisions of the Terms of Use, other applicable legal documents issued by Mokrica, and applicable laws shall apply.

 


2. REGISTRATION AND ACTIVATION OF A TRANSLATOR ACCOUNT


2.1. Registration Requirements


A User may apply to become a Translator on the Mokrica platform by satisfying the eligibility requirements established by Mokrica from time to time.


Registration as a Translator must be completed through the functions provided by the platform and does not entitle the User to Translator status until the application has been approved and the Translator Account has been activated by Mokrica.


Mokrica reserves the right to establish, modify, or update the eligibility requirements for Translator registration as necessary to support platform administration, maintain Service quality, or facilitate the continued development of the platform.


2.2. Registration Application


The User is responsible for providing complete, accurate, and truthful information and supporting documents as required by Mokrica during the Translator registration process.


The required information and documents may include, but are not limited to:


•    Personal information; 
•    Contact information; 
•    Language pairs; 
•    Areas of specialization; 
•    Translation experience; 
•    Certificates, academic qualifications, or other documents demonstrating professional competence (if any); 
•    Identity verification documents; 
•    Any other information or supporting documents required by Mokrica. 


The User is solely responsible for ensuring that all information and documents provided are accurate, lawful, authentic, and kept up to date.


2.3. Verification and Review


Upon receipt of a registration application, Mokrica may verify, review, and assess the User's information, supporting documents, and professional qualifications in accordance with the procedures and evaluation criteria applied by Mokrica from time to time.


During the review process, Mokrica may require the User to supplement, correct, or update any information or supporting documents where necessary.


Submission of a complete application does not guarantee that the application will be approved or that the Translator Account will be activated.


Mokrica reserves the right to approve, reject, or request additional information or documentation without any obligation to disclose its internal evaluation criteria, unless otherwise required by applicable laws.


2.4. Activation of a Translator Account


A Translator Account will be activated only after the User's application has been reviewed and approved by Mokrica in accordance with its applicable procedures.


Once activated, the Translator may access the features available to Translators on the platform, including but not limited to:


•    Accepting Translation Orders
•    Participating in a Channel, where the applicable eligibility requirements are satisfied; 
•    Monitoring Translation Order activities and performance; 
•    Receiving benefits, programs, or features made available to Translators in accordance with Mokrica's policies; and 
•    Using any other features made available by Mokrica. 


Activation of a Translator Account does not guarantee that the Translator will receive or be assigned any Translation Orders, nor does it create any right to require Mokrica to provide Translation Orders, income, revenue, or any other benefit beyond those expressly provided by the platform.


2.5. Profile Updates


A Translator is responsible for regularly reviewing, updating, and maintaining the accuracy of their profile throughout their activities on the Mokrica platform.


Mokrica may require a Translator to supplement, update, or re-verify their information whenever necessary to maintain Service quality, ensure platform transparency, or comply with applicable laws.


Where a Translator fails to update or provide the requested information within a reasonable period, Mokrica reserves the right to restrict certain platform features, suspend the Translator Account, or take any other appropriate measures in accordance with this Agreement and the other applicable legal documents.

 


3. TRANSLATOR PROFILE, QUALIFICATIONS, AND PERFORMANCE EVALUATION


3.1. Translator Profile


After a Translator Account has been activated, the Translator is responsible for creating, maintaining, and updating their Translator Profile using the features provided by the Mokrica platform.


A Translator Profile may include, but is not limited to:


•    Personal information; 
•    Profile photo; 
•    Professional biography; 
•    Language pairs; 
•    Areas of specialization; 
•    Educational background; 
•    Professional experience; 
•    Certificates, academic qualifications, or other documents demonstrating professional competence (if any); 
•    Professional skills; and 
•    Any other information supported by the platform. 


The Translator is solely responsible for ensuring that all information contained in the Translator Profile is accurate, complete, lawful, and kept up to date.


3.2. Translator Qualifications


Mokrica may evaluate a Translator's qualifications based on the Translator Profile, the information and supporting documents provided, Translation Order performance, Service quality, and any other evaluation criteria established by Mokrica from time to time.


Such evaluations may be conducted for purposes including, but not limited to:


•    Recommending suitable Translation Orders
•    Supporting participation in or activities through a Channel
•    Determining eligibility for programs, benefits, or features available to Translators
•    Enhancing the overall quality of the Services provided through the platform; and 
•    Supporting the administration, operation, and development of the Mokrica platform. 


Any evaluation conducted by Mokrica is intended solely for the operation and management of the platform and shall not be interpreted as professional accreditation, certification, licensing, or formal recognition of a Translator's professional qualifications.


3.3. Language Pairs and Areas of Specialization


A Translator may register one or more language pairs, areas of specialization, or translation fields through the functions supported by the Mokrica platform.


Where necessary, Mokrica may require the Translator to provide additional information or supporting documents, or to complete appropriate assessments, for the purpose of verifying the Translator's qualifications with respect to a particular language pair or area of specialization.


Registration or approval of a language pair or area of specialization does not guarantee that the Translator will receive or be assigned Translation Orders relating to that language pair or specialization.


3.4. Performance Metrics and Evaluation


During the course of a Translator's activities on the Mokrica platform, Mokrica may collect, maintain, and evaluate performance data for the purpose of improving Service quality and optimizing platform operations.


Performance metrics may include, but are not limited to:


•    Translation Order performance; 
•    Delivery timeliness; 
•    Translation quality; 
•    Revision rate; 
•    Level of cooperation; 
•    Activity history; 
•    Verification results; and 
•    Any other evaluation criteria established by Mokrica. 


These performance metrics may be used as a basis for:


•    Recommending or assigning Translation Orders
•    Determining eligibility to participate in a Channel
•    Applying programs, benefits, or features available to Translators
•    Assessing suitability for particular types of Translation Orders; and 
•    Supporting the administration and continued development of the Mokrica platform. 


Mokrica reserves the right to modify, supplement, or update its evaluation methods and performance metrics as the platform continues to evolve.


3.5. Profile Maintenance and Professional Development


A Translator is responsible for regularly updating their Translator Profile, language pairs, areas of specialization, professional experience, and other relevant information to ensure that such information accurately reflects the Translator's current qualifications.


Mokrica may require the Translator to update, supplement, or re-verify any information whenever necessary to maintain Service quality, ensure platform transparency, or satisfy operational or legal requirements.


Failure to update or provide the requested information may affect the Translator's eligibility to receive Translation Order recommendations, participate in applicable programs, access certain benefits, or use specific features available to Translators, in accordance with Mokrica's policies.

 


4. ACCEPTANCE AND PERFORMANCE OF TRANSLATION ORDERS


4.1. Translation Order Recommendations


The Mokrica platform may recommend or display Translation Orders to Translators based on the operational and management criteria applied by Mokrica from time to time.


Recommendations may be determined based on various factors, including but not limited to:


•    Language pairs; 
•    Areas of specialization; 
•    The Translator's profile and professional qualifications; 
•    Performance metrics and evaluation results; 
•    Account status; 
•    Participation in a Channel (if applicable); and 
•    Any other criteria established by Mokrica. 


The recommendation or display of a Translation Order does not guarantee that the Translator will be entitled to accept the order or receive any minimum number of Translation Orders.


4.2. Acceptance of Translation Orders


A Translator may accept a Translation Order only after satisfying all applicable eligibility requirements established by the Mokrica platform.


By accepting a Translation Order, the Translator confirms that they have carefully reviewed the order details, requirements, delivery deadline, and all other relevant information, and agree to perform the Services in accordance with this Agreement and Mokrica's platform policies.


To maintain Service quality, ensure timely order processing, and support efficient platform operations, Mokrica applies a limit on the number of Translation Orders that a Translator may perform simultaneously.


As of the effective date of this Agreement, each Translator may have no more than five (5) active Translation Orders at the same time, unless otherwise approved or specified by Mokrica.


Once this limit has been reached, the Translator may accept additional Translation Orders only after one or more existing Translation Orders have been completed, delivered, cancelled, or otherwise closed in accordance with the platform's procedures.


Mokrica reserves the right to adjust the maximum number of concurrent Translation Orders based on specific programs, Translator levels, operational requirements, or other management considerations.


4.3. Cancellation or Return of Translation Orders


After accepting a Translation Order, the Translator is responsible for actively performing and completing the assigned work.


Where the Translator is unable to continue performing the Translation Order for a legitimate reason, the Translator may submit a request to cancel or return the Translation Order through the functions provided by the Mokrica platform.


Unless otherwise approved by Mokrica or prevented by a Force Majeure Event, a cancellation or return request must be submitted within two (2) hours from the time the Translator accepted the Translation Order.


Each Translator may cancel no more than three (3) accepted Translation Orders within the same calendar month, unless otherwise approved or specified by Mokrica.


Following a valid cancellation or return, the Mokrica platform may automatically recommend, assign, or reassign the Translation Order to another eligible Translator or Channel for further processing.


The Translator acknowledges and agrees that every cancellation or returned Translation Order will be recorded by the Mokrica platform and may affect future performance evaluations, Translation Order recommendations, eligibility to accept future Translation Orders, and participation in Translator programs or benefits offered by Mokrica.


Where a Translator cancels a Translation Order in violation of this Agreement, exceeds the permitted cancellation limit, or repeatedly cancels Translation Orders in a manner that adversely affects Service quality, processing efficiency, or the interests of Users, Mokrica reserves the right to restrict the Translator's ability to accept new Translation Orders, suspend certain platform features, or apply any other appropriate measures under this Agreement.


4.4. Performance of Translation Orders


After accepting a Translation Order, the Translator shall perform the assigned work in accordance with the order requirements, delivery deadline, and the operating procedures established by the Mokrica platform.


During the performance of a Translation Order, the Translator shall:


•    Perform the translation using their own professional knowledge, skills, and expertise. 
•    Ensure the quality, accuracy, and consistency of the translation. 
•    Meet the applicable delivery deadline. 
•    Communicate proactively through the platform whenever clarification of the order requirements is necessary. 
•    Comply with all applicable Mokrica policies throughout the performance of the Translation Order. 


Unless expressly authorized through the Mokrica platform by Mokrica or by the User with appropriate authority, the Translator shall not assign, subcontract, delegate, or permit any third party to perform all or any portion of the Translation Order.


The Translator shall promptly notify Mokrica or the Channel Owner (where applicable) through the platform whenever the Translator becomes aware of any issue or reasonably believes that the Translation Order cannot be completed on time or in accordance with the required specifications.


4.5. Delivery, Revisions, and Completion of Translation Orders


Upon completing the translation, the Translator shall deliver the translated work in the required format, within the applicable deadline, and in accordance with the procedures established by the Mokrica platform.


Where revision requests fall within the original scope of the Translation Order, the Translator shall cooperate in completing the requested revisions in accordance with Mokrica's procedures and applicable deadlines.


Revision requests do not include requests that materially change the original scope or content of the Translation Order, unless otherwise agreed by the relevant parties or supported by the Mokrica platform.


A Translation Order shall be considered completed once all completion requirements established by the Mokrica platform have been satisfied.


4.6. Coordination and Support for Translation Orders


During the processing of a Translation Order, Mokrica may assist in coordinating, assigning, or recommending Translation Orders in order to maintain Service quality, ensure timely completion, and protect the interests of Users.


Within the functions supported by the platform, a Channel Owner may coordinate Translation Orders among eligible Members within the Channel in accordance with Mokrica's policies.


Where no suitable Translator is available within a Channel, or where the Channel is otherwise unable to accept a Translation Order, Mokrica may recommend, assign, or reassign the Translation Order to another qualified Translator or Channel.


Such coordination or operational support shall not affect the recognition of the Translation Order or any related benefits, unless otherwise provided by Mokrica.


4.7. Recognition of Performance and Translator Benefits


After a Translation Order has been completed, approved, and satisfies all applicable requirements established by the Mokrica platform, the Translator's performance may be recorded by the platform.


The recorded information may include, but is not limited to:


•    Translation Order performance; 
•    Performance metrics; 
•    Service quality evaluation; 
•    Translation Compensation; 
•    Commissions, Rewards, or other financial benefits (if applicable); and 
•    Other information supported by the platform. 


The recognition of Translation Compensation, Commissions, Rewards, or other financial benefits shall be governed by the Payment & Moca Policy and the applicable Mokrica programs.


The recording of such information by the platform does not mean that any payment will be made immediately. Payments shall be processed in accordance with the eligibility requirements, payment schedule, and procedures set out in the Payment & Moca Policy.


4.8. Translator Responsibilities During Order Performance


During the acceptance and performance of Translation Orders, the Translator shall:


•    Comply with this Agreement and all other applicable legal documents issued by Mokrica. 
•    Perform each Translation Order in accordance with its requirements, delivery deadline, and applicable procedures. 
•    Protect the confidentiality of all information, documents, and content relating to the Translation Order. 
•    Cooperate with the User, the Channel Owner, and Mokrica through the functions provided by the platform whenever necessary. 
•    Cooperate in verification procedures, complaint handling, dispute resolution, and the resolution of any issues relating to the Translation Order. 
•    Refrain from engaging in any conduct that may adversely affect Service quality, the lawful rights and interests of Users, or the operation of the Mokrica platform. 

 


5. SERVICE QUALITY


5.1. Quality Standards


A Translator shall perform each Translation Order using their own professional knowledge, skills, and expertise, and shall ensure that the completed translation meets the requirements, scope, and specifications of the applicable Translation Order.


Each translation shall be accurate, complete, clear, consistent, and appropriate for the applicable language pair, area of specialization, and any specific requirements provided by the User.


Mokrica reserves the right to establish and apply quality standards, quality assurance procedures, evaluation methods, and other management criteria to maintain and continuously improve the quality of the Services provided through the platform.


5.2. Delivery Deadlines


A Translator is responsible for completing and delivering each Translation Order within the applicable deadline established by the Mokrica platform or specified in the relevant Translation Order.


Where any circumstance may reasonably affect timely completion, the Translator shall promptly notify Mokrica or the Channel Owner (where applicable) through the platform's supported communication features so that appropriate coordination measures may be taken.


Any delay in completing a Translation Order may be recorded by the Mokrica platform and considered in performance evaluations, Translation Order recommendations, eligibility for benefits, and other management measures implemented by Mokrica.


5.3. Terminology, Instructions, and User Requirements


A Translator shall comply with all reasonable requirements specified by the User within the scope of the Translation Order, including but not limited to:


•    Specialized terminology; 
•    Reference materials; 
•    Translation instructions; 
•    Formatting and writing style; 
•    Corporate terminology or style guides; and 
•    Any other requirements specified in the Translation Order. 


Where any instruction, requirement, or source content is unclear, ambiguous, or may reasonably affect the quality of the translation, the Translator shall proactively seek clarification through the communication features provided by the Mokrica platform before completing the Translation Order.


5.4. Translation Support Tools


A Translator may use translation support tools to improve the quality and efficiency of performing Translation Orders, including but not limited to:


•    Translation Memory (TM); 
•    Termbase; 
•    Computer-Assisted Translation (CAT) tools; 
•    Quality assurance tools; 
•    Artificial Intelligence (AI); and 
•    Any other translation technologies or support tools permitted by Mokrica. 


The use of any translation support tool does not reduce or transfer the Translator's responsibility for the quality, accuracy, completeness, consistency, or timely completion of the Translation Order.


The Translator remains solely responsible for reviewing, editing, proofreading, validating, and approving the final translation before delivery to the User, including where any portion of the translation has been generated or assisted by Artificial Intelligence (AI) or any other technology.


Translation support tools, including Artificial Intelligence (AI), are intended solely to assist the Translator in performing Translation Orders and shall not replace the Translator's professional judgment, professional responsibility, or accountability for the final translation delivered to the User.


Mokrica may develop, provide, or integrate translation support technologies, including Artificial Intelligence (AI), to improve Translator productivity and Service quality. The use of such technologies shall be governed by Mokrica's applicable policies and shall not alter the Translator's responsibility for the final outcome of any Translation Order.


5.5. Confidentiality of Information and Documents


A Translator shall keep confidential all documents, information, data, and content relating to a Translation Order during the acceptance, performance, and after the completion of the Translation Order, in accordance with this Agreement, the Privacy Policy, and the other applicable legal documents issued by Mokrica.


Unless otherwise authorized by the User or Mokrica, or required by applicable laws, the Translator shall not copy, retain, disclose, distribute, transfer, publish, use, or otherwise exploit any User documents or information for any purpose other than performing the relevant Translation Order.


5.6. Ownership and Use of Translation Deliverables


Unless otherwise agreed by the relevant parties or required by applicable laws, the ownership and rights to use the completed translation and all deliverables produced under a Translation Order shall be governed by the Terms of Use, any applicable agreement between the parties, and the relevant legal documents published by Mokrica.


A Translator shall not use, publish, distribute, disclose, reproduce, or otherwise exploit any translation, document, or content relating to a Translation Order without the authorization of the rightful owner or as otherwise permitted under Mokrica's applicable policies.


5.7. Quality Assurance and Revisions


Mokrica reserves the right to inspect, review, evaluate, or request revisions to any translation before or after delivery for the purpose of maintaining Service quality and protecting the interests of Users.


The Translator shall cooperate in completing any revision request that falls within the original scope of the Translation Order, in accordance with Mokrica's procedures and applicable deadlines.


Quality assurance results, revision history, and the extent to which the Translation Order satisfies the applicable requirements may be recorded and used as a basis for:


•    Evaluating the Translator's qualifications and Service quality; 
•    Recommending or assigning Translation Orders; 
•    Determining eligibility for Translator programs, benefits, or platform features; and 
•    Supporting the administration, operation, and continued development of the Mokrica platform. 


Any inspection, review, evaluation, or revision request by Mokrica shall not reduce or modify the Translator's responsibility for the quality of the completed translation under this Agreement.

 


6. BENEFITS AND PAYMENT


6.1. Translator Benefits


During their activities on the Mokrica platform, a Translator may become eligible for various benefits upon satisfying the applicable conditions established by Mokrica.


Such benefits may include, but are not limited to:


•    Translation Compensation; 
•    Commissions; 
•    Rewards; 
•    Incentive programs; 
•    Translator support programs; and 
•    Any other benefits or programs introduced by Mokrica from time to time. 


Eligibility for and receipt of such benefits shall be subject to the applicable terms, conditions, scope, and policies established by Mokrica.


6.2. Recognition of Translation Compensation and Other Benefits


After a Translation Order has been completed, approved, and satisfies all applicable requirements established by the Mokrica platform, the platform may recognize the benefits earned by the Translator.


Recognized benefits may include, but are not limited to:


•    Translation Compensation; 
•    Commissions; 
•    Rewards; 
•    Incentive payments; and 
•    Other benefits supported by the platform. 


The recognition of such benefits within the Mokrica platform serves as the basis for recording the Translator's performance, reconciliation, and payment processing in accordance with Mokrica's applicable policies.


The recognition of any benefit does not constitute an immediate payment obligation and does not entitle the Translator to demand payment unless all applicable payment requirements established by Mokrica have been fully satisfied.


6.3. Payment and Withdrawals


Payment of any benefits earned by a Translator shall be governed by the Payment & Moca Policy and any applicable Mokrica programs in effect from time to time.


Payments shall be processed only after completion of the applicable reconciliation, verification, and payment approval procedures required by Mokrica.


Payments may be made through the payment methods supported by Mokrica from time to time.


The eligibility requirements, payment schedule, payment methods, verification requirements, reconciliation procedures, deductions (if any), and withdrawal procedures shall be governed by the Payment & Moca Policy.


6.4. Reconciliation, Adjustments, and Payment Holds


To ensure accuracy, transparency, and the protection of the legitimate interests of all parties, Mokrica reserves the right to perform reconciliation procedures before issuing any payment.


Mokrica may adjust, withhold, suspend, or refuse payment of all or any portion of a Translator's benefits under any of the following circumstances:


•    The Translation Order does not satisfy the applicable recognition or payment requirements. 
•    A complaint, dispute, or verification process relating to the Translation Order is pending. 
•    There is reasonable evidence of fraud, abuse of the platform, or a violation of this Agreement. 
•    Payment information or verification information is incomplete, inaccurate, or outdated. 
•    Payment is restricted or required to be withheld pursuant to a request from a competent governmental authority. 
•    Any other circumstances permitted under Mokrica's policies or applicable laws. 


Any adjustment, suspension, or withholding of payment shall not permanently deprive the Translator of their entitlement where, upon completion of the verification process, the Translator is determined to satisfy all applicable payment requirements.


6.5. Taxes and Financial Obligations


The Translator shall provide complete, accurate, and up-to-date information required for identity verification, payment processing, tax reporting, or compliance with any financial obligations required by applicable laws.


The Translator is solely responsible for fulfilling all taxes, fees, and other financial obligations arising from the Translator's activities on the Mokrica platform in accordance with applicable laws.


Where required by applicable laws or by a competent governmental authority, Mokrica may withhold, report, remit, or disclose information relating to payments made to the Translator as required by law.


The Translator shall cooperate with Mokrica by providing tax identification numbers, verification documents, or any other information reasonably required for payment processing and legal compliance.


Where the Translator fails to provide the required information or otherwise fails to satisfy the applicable legal requirements, Mokrica may temporarily suspend payment until the required verification has been completed.


6.6. Payment & Moca Policy


The following matters shall be governed by the Payment & Moca Policy and any other policies published by Mokrica from time to time:


•    Translation Compensation; 
•    Commissions; 
•    Rewards; 
•    Recognition of benefits; 
•    Reconciliation; 
•    Payments; 
•    Withdrawals; 
•    Deductions; 
•    Taxes (where applicable); and 
•    Other financial programs. 


Mokrica reserves the right to establish, modify, or implement commission programs, reward programs, incentive programs, and other financial benefit programs to support the activities of Translators and the continued development of the Mokrica platform. Participation in such programs shall be subject to the applicable eligibility requirements, scope, duration, and conditions published by Mokrica from time to time.


Where any inconsistency exists between this Agreement and the Payment & Moca Policy with respect to matters relating to payments or financial benefits, the Payment & Moca Policy shall prevail.

 


7. RIGHTS AND OBLIGATIONS OF TRANSLATORS


7.1. Rights of Translators


While using the Mokrica platform, a Translator shall be entitled to the following rights, subject to satisfying the applicable eligibility requirements established by Mokrica:


•    Register for and use a Translator Account and the features available to Translators. 
•    Receive recommendations for, or accept, Translation Orders in accordance with Mokrica's applicable eligibility requirements. 
•    Participate in one or more Channels in accordance with Mokrica's policies. 
•    Receive recognition of Translation Compensation, Commissions, Rewards, and other applicable benefits in accordance with Mokrica's policies. 
•    Access and use the tools, platform features, and support programs made available by Mokrica. 
•    Request assistance, submit feedback, file complaints, or provide suggestions relating to activities on the Mokrica platform. 
•    Have their lawful rights and interests protected in accordance with this Agreement, the Terms of Use, and the other applicable legal documents published by Mokrica. 
•    Exercise any other rights provided under Mokrica's policies or applicable laws. 


7.2. Obligations of Translators


While using the Mokrica platform, a Translator shall:


•    Comply with this Agreement, the Terms of Use, and all other applicable legal documents issued by Mokrica. 
•    Provide, maintain, and update complete, accurate, and current information relating to the Translator Account. 
•    Perform each Translation Order using the Translator's own professional knowledge, skills, and expertise, while complying with Mokrica's Service quality requirements. 
•    Maintain the confidentiality of the Translator Account, as well as all documents, information, data, and materials relating to Translation Orders. 
•    Fulfill all applicable payment, tax, and other financial obligations required under applicable laws and Mokrica's policies. 
•    Comply with the Channel Policy when participating in any Channel. 
•    Refrain from engaging in fraud, abuse of the platform, or any conduct that violates this Agreement. 
•    Fulfill any other obligations required under Mokrica's policies or applicable laws. 


7.3. Cooperation with Mokrica


To ensure the stable, transparent, and secure operation of the Mokrica platform, a Translator shall cooperate with Mokrica whenever reasonably required, including but not limited to:


•    Providing information, documents, or records reasonably requested by Mokrica. 
•    Cooperating in identity verification, profile verification, payment verification, or any other verification procedures where necessary. 
•    Providing explanations or information relating to Translation Orders, complaints, disputes, or other operational matters. 
•    Assisting Mokrica during inspections, reconciliations, investigations, or the handling of suspected violations. 
•    Complying with any other reasonable requests intended to protect the lawful rights and interests of Users, Translators, and Mokrica. 


Such cooperation shall not modify or limit the respective rights, obligations, or liabilities of any party under this Agreement, unless otherwise agreed by the parties or required by applicable laws.


7.4. Compliance with Mokrica's Legal Documents


The Translator acknowledges and agrees that, in addition to this Agreement, use of the Mokrica platform is also governed by the other applicable legal documents and policies published by Mokrica, including but not limited to:


•    Terms of Use; 
•    Privacy Policy; 
•    Payment & Moca Policy; 
•    Channel Policy (where the Translator participates in a Channel); and 
•    Any rules, guidelines, policies, or programs published by Mokrica from time to time. 


Where any provision of this Agreement conflicts with a more specific legal document issued by Mokrica in relation to a matter governed by that document, the specific legal document shall prevail with respect to that matter, unless otherwise provided by Mokrica or required by applicable laws.

 


8. CHANNEL PARTICIPATION AND COLLABORATION


8.1. Participation in Channels


A Translator may participate in one or more Channels through the features provided by the Mokrica platform or by accepting an invitation from a Channel Owner.


Participation in a Channel is subject to the eligibility requirements established by Mokrica and may be evaluated based on the Translator's profile, professional qualifications, language pairs, areas of specialization, performance history, or any other criteria applied by Mokrica from time to time.


Participation in a Channel does not alter the Translator's legal status on the Mokrica platform and does not guarantee that the Translator will receive or be assigned any Translation Orders.


A Translator may join, leave, or change Channels through the functions and subject to the conditions supported by the Mokrica platform.


8.2. Participation in Multiple Roles on the Platform


In addition to acting as a Translator, a User may register for or use one or more additional roles on the Mokrica platform, provided that the applicable eligibility requirements are satisfied.


A Translator may register as a Member to access the rights, benefits, and features available under the Member Agreement.


A Translator who satisfies Mokrica's eligibility requirements may also register for, establish, manage, and operate a Channel as a Channel Owner. The rights and obligations of a Channel Owner shall be governed by the Channel Policy.


Registration for or participation in multiple roles on the Mokrica platform shall not terminate, replace, limit, or otherwise affect the Translator's rights or obligations under this Agreement.


8.3. Activities Within a Channel


While participating in a Channel, a Translator may engage in activities supported by the Mokrica platform, including but not limited to:


•    Accepting Translation Orders recommended, assigned, or distributed by the platform. 
•    Collaborating with the Channel Owner and other Members in performing Translation Orders. 
•    Communicating regarding Translation Orders through the platform's communication features. 
•    Participating in programs, activities, or features available to Channels. 
•    Using any other features supported by the Mokrica platform. 


The assignment, coordination, distribution, and acceptance of Translation Orders within a Channel shall be governed by the Mokrica platform and the Channel Policy.


8.4. Relationship with the Channel Owner


While participating in a Channel, a Translator shall cooperate with the Channel Owner, within the scope of the platform's supported features, to facilitate the efficient acceptance, coordination, and performance of Translation Orders.


A Channel Owner may coordinate, assign, support, or manage Channel activities in accordance with the rights and functions established by Mokrica.


Participation in a Channel does not create an employment relationship, agency relationship, partnership, joint venture, or any other legal relationship between the Translator and the Channel Owner, unless otherwise agreed by the parties in accordance with applicable laws.


The respective rights and obligations of the Translator and the Channel Owner shall be governed by the platform's supported functions, the Channel Policy, and the other applicable legal documents published by Mokrica.


8.5. Application of the Channel Policy and Other Applicable Legal Documents


By participating in a Channel, the Translator agrees to comply with the Channel Policy and all other applicable policies and regulations published by Mokrica.


Where a Translator simultaneously participates in multiple roles on the Mokrica platform, each role shall be governed by its corresponding legal document, including but not limited to:


•    Terms of Use, governing the use of the Mokrica platform; 
•    Member Agreement, governing the User's role as a Member; 
•    Translator Agreement, governing the User's role as a Translator; 
•    Channel Policy, governing the activities of Channel Owners and Channels; 
•    Payment & Moca Policy, governing financial benefits and payment-related matters; and 
•    Privacy Policy, governing the collection, use, disclosure, storage, and protection of personal information. 


Registration for or participation in multiple roles on the Mokrica platform shall not modify the scope or applicability of any legal document. The Translator remains responsible for complying with all legal documents applicable to each role in which the Translator participates.


Where any provision of this Agreement conflicts with a more specific legal document published by Mokrica with respect to a matter governed by that document, the relevant specific legal document shall prevail, unless otherwise provided by Mokrica or required by applicable laws.

 


9. VIOLATIONS AND ENFORCEMENT MEASURES


9.1. Violations


A Translator shall not engage in any conduct that violates this Agreement, the Terms of Use, the Privacy Policy, the Payment & Moca Policy, the Channel Policy (where applicable), or any other legal documents published by Mokrica.


Prohibited conduct includes, but is not limited to:


•    Providing inaccurate, false, fraudulent, or misleading information, applications, or supporting documents. 
•    Impersonating another individual or organization. 
•    Engaging in fraud during the registration, acceptance, or performance of Translation Orders. 
•    Accepting Translation Orders without performing them, intentionally delaying performance, or cancelling Translation Orders in violation of Mokrica's policies. 
•    Assigning, subcontracting, delegating, or permitting any third party to perform a Translation Order without authorization. 
•    Breaching confidentiality obligations or making unauthorized use of User documents or information. 
•    Intentionally delivering translations that fail to satisfy the requirements of the Translation Order or otherwise adversely affect Service quality. 
•    Exploiting the Mokrica platform, incentive programs, or platform features for improper or fraudulent purposes. 
•    Interfering with, manipulating, or disrupting the normal operation of the Mokrica platform. 
•    Infringing upon the lawful rights or interests of Users, other Translators, or Mokrica. 
•    Engaging in any conduct prohibited by applicable laws or by Mokrica. 


9.2. Principles of Enforcement


Enforcement measures shall be determined based on the nature, severity, consequences, frequency, and other relevant circumstances of the violation, with the objective of ensuring fairness, transparency, and compliance with Mokrica's policies and applicable laws.


Mokrica may impose one or more enforcement measures in relation to the same violation where reasonably necessary to protect the lawful rights and interests of Users, Translators, and the Mokrica platform.


The application or non-application of any particular enforcement measure in one case shall not limit Mokrica's right to impose other enforcement measures under this Agreement or any other applicable legal document.


9.3. Enforcement Measures


Depending on the nature and severity of the violation, Mokrica may impose one or more of the following measures:


•    Issue a reminder or warning. 
•    Require the Translator to remedy the violation. 
•    Record the violation in the Translator's activity history. 
•    Restrict or suspend the Translator's ability to accept Translation Orders. 
•    Restrict or suspend access to certain platform features. 
•    Withhold the recognition or payment of benefits in accordance with Mokrica's applicable policies. 
•    Revoke eligibility to participate in Channels or Mokrica programs. 
•    Suspend or terminate the Translator Account. 
•    Seek compensation for damages where permitted under applicable laws. 
•    Apply any other enforcement measures permitted under Mokrica's policies or applicable laws. 


9.4. Verification and Opportunity to Respond


Where Mokrica has reasonable grounds to believe that a Translator has committed a violation, Mokrica may conduct an investigation or verification process to protect the lawful rights and interests of all relevant parties.


During such verification process, Mokrica may require the Translator to:


•    Provide relevant information, documents, or records. 
•    Explain the conduct or circumstances giving rise to the matter under review. 
•    Cooperate in inspections, reconciliations, investigations, or other review procedures. 


During the verification process, Mokrica may implement temporary administrative measures reasonably necessary to protect the security of the platform, the integrity of Translation Orders, or the interests of Users.


The Translator shall cooperate fully, honestly, and promptly throughout the verification process.


9.5. Remedial Measures and Restoration of Platform Privileges


A Translator shall take appropriate corrective actions to remedy any consequences arising from a violation in accordance with Mokrica's reasonable requests or applicable laws.
After the required corrective actions have been completed and all applicable conditions have been satisfied, Mokrica may, at its sole discretion, restore some or all of the Translator's platform privileges.


Any restoration of platform privileges shall be based on the verification results, the extent of corrective actions taken, and Mokrica's operational requirements, and shall not be interpreted as creating any obligation for Mokrica to restore such privileges in every case.


9.6. Complaints and Review of Enforcement Decisions


A Translator may submit explanations, objections, or complaints regarding an enforcement decision through Mokrica's official support channels.


Before issuing a final decision or any revised decision (where applicable), Mokrica shall review the relevant information, documents, and supporting evidence provided by the Translator.


The submission of a complaint shall not automatically suspend, stay, or revoke any enforcement measure already imposed, unless otherwise determined by Mokrica or required by applicable laws.


9.7. Application of Other Applicable Legal Documents


Enforcement under this Agreement does not limit Mokrica's right to apply the relevant provisions of:


•    Terms of Use; 
•    Privacy Policy; 
•    Payment & Moca Policy; 
•    Channel Policy (where the Translator participates in a Channel); 
•    Member Agreement (where the Translator is also a Member); 
•    Any other legal documents published by Mokrica; and 
•    Applicable laws and regulations. 


Where a single act or omission violates more than one legal document published by Mokrica, Mokrica may apply the corresponding enforcement measures under each applicable legal document to the extent permitted by applicable laws.

 


10. TERMINATION OF THE AGREEMENT


10.1. Circumstances of Termination


This Agreement shall terminate under any of the following circumstances:


•    The Translator voluntarily terminates the use of the Translator Account through the functions provided by the Mokrica platform. 
•    Mokrica terminates or revokes the operational privileges of the Translator Account in accordance with this Agreement or other applicable legal documents. 
•    The Translator no longer satisfies the eligibility requirements for operating as a Translator under Mokrica's policies. 
•    Pursuant to the request of a competent governmental authority or as required by applicable laws. 
•    Any other circumstances provided for by Mokrica or applicable laws. 


Termination of this Agreement shall not affect any rights, obligations, or liabilities that arose prior to the effective date of termination, except where otherwise required by applicable laws.


10.2. Effect of Termination


Upon termination of this Agreement, Mokrica may:


•    Terminate the Translator's access to functions available exclusively to Translators. 
•    Cease proposing or distributing Translation Orders. 
•    Revoke rights, privileges, or benefits associated with Translator status in accordance with Mokrica's policies. 
•    Conduct reconciliation and process any outstanding Translation Orders, benefits, or obligations. 
•    Continue storing, managing, or processing relevant data in accordance with the Privacy Policy and applicable laws. 


The Translator shall remain responsible for fulfilling all outstanding obligations that arose before the termination of this Agreement.


Termination of this Agreement shall not terminate or release any rights or obligations that, by their nature or by applicable law, are intended to survive termination.


10.3. Processing of Ongoing Translation Orders


Where one or more Translation Orders remain in progress at the time this Agreement is terminated, Mokrica may, at its discretion, implement one or more of the following measures:


•    Require the Translator to complete the Translation Order, where continued performance is considered appropriate for protecting the interests of the User and consistent with Mokrica's policies. 
•    Reassign or transfer the Translation Order to another qualified Translator or Channel for continued processing. 
•    Apply any administrative measures reasonably necessary to safeguard Service quality and the lawful interests of the User. 


The handling of ongoing Translation Orders shall not alter any rights or obligations that arose before the termination of this Agreement.


10.4. Benefits and Payments After Termination


Termination of this Agreement shall not deprive the Translator of any translation fees, commissions, rewards, or other benefits that were validly recorded before the effective date of termination.


Any reconciliation, deductions (where applicable), payments, financial obligations, and withdrawals shall be processed in accordance with the Payment & Moca Policy.


Where the Translator has any outstanding financial obligations, indemnification obligations, or other liabilities owed to Mokrica or any User, Mokrica may conduct reconciliation, apply deductions, or take other appropriate measures in accordance with applicable laws and relevant legal documents.


10.5. Provisions Surviving Termination


Following termination of this Agreement, any provisions which, by their nature or under applicable law, are intended to survive termination shall remain in full force and effect, including but not limited to provisions relating to:


•    Confidentiality obligations; 
•    Intellectual property rights; 
•    Benefits and payments; 
•    Financial and tax obligations; 
•    Indemnification; 
•    Dispute resolution; and 
•    Any other provisions that are intended to survive under this Agreement or applicable laws. 


10.6. Reapplication or Restoration of Translator Status


Following termination of this Agreement, the Translator may apply to register again or request the restoration of Translator privileges, provided that the applicable eligibility requirements established by Mokrica are satisfied.


Any application for re-registration or restoration shall be evaluated by Mokrica based on, among other factors:


•    The reasons for the previous termination; 
•    The results of any verification or investigation (where applicable); 
•    Completion of all outstanding obligations; and 
•    The eligibility requirements and policies in effect at the time of the application. 


Mokrica reserves the sole discretion to approve or reject any request for re-registration or restoration of Translator privileges.


10.7. Relationship with Other Legal Documents


Termination of this Agreement shall not automatically terminate or invalidate any rights, obligations, or liabilities arising under:


•    the Terms of Use; 
•    the Privacy Policy; 
•    the Payment & Moca Policy; 
•    the Channel Policy (where the Translator participates in a Channel); 
•    the Member Agreement (where the Translator is also a Member); or 
•    any other legal documents published by Mokrica. 


The continued applicability or termination of each legal document shall be determined in accordance with its respective scope of application and governing provisions.

 


11. GENERAL PROVISIONS


11.1. Effectiveness of this Agreement


This Agreement shall become effective from the time the Translator registers for, activates, or continues using a Translator Account on the Mokrica platform.


The Translator's continued use of the Translator Account or any Translator-specific functions shall constitute the Translator's acknowledgment that they have read, understood, and agreed to be bound by this Agreement and all other applicable legal documents published by Mokrica.


If the Translator does not agree with any provision of this Agreement or any amendments or updates thereto, the Translator may discontinue using the Translator functions in accordance with Mokrica's policies.


11.2. Amendments and Updates


Mokrica reserves the right to amend, supplement, or update this Agreement from time to time in order to reflect changes in platform operations, management requirements, or applicable laws.


The version published on the Mokrica platform shall become effective on the date specified by Mokrica.


Mokrica may provide notice of any amendments or updates through the platform or other official communication channels as deemed appropriate.


The Translator's continued use of the Translator Account or any Translator functions after an updated version becomes effective shall constitute acceptance of such amendments or updates, unless otherwise required by applicable laws.


11.3. Application of Mokrica Legal Documents


This Agreement forms an integral part of Mokrica's legal framework and shall be applied together with other applicable legal documents, including but not limited to:


•    the Terms of Use; 
•    the Privacy Policy; 
•    the Payment & Moca Policy; 
•    the Member Agreement (where the Translator is also a Member); 
•    the Channel Policy (where the Translator participates in a Channel); and 
•    any other policies, guidelines, rules, or legal documents published by Mokrica from time to time. 
Matters not specifically governed by this Agreement, or matters of general application relating to the use of the Mokrica platform, shall be governed by the Terms of Use.


Matters specifically governed by a specialized Mokrica legal document shall be subject to that specialized document.


Where any inconsistency exists between this Agreement and the Terms of Use or another specialized Mokrica legal document with respect to the same subject matter, the document that directly governs such subject matter shall prevail, unless otherwise required by applicable laws.

1. WELCOME TO MOKRICA MEMBERSHIP


1.1. Purpose


This Member Agreement ("Agreement") sets out the terms, conditions, rights, benefits, obligations, and responsibilities applicable to Users who register for, are approved by Mokrica, and have their Member Account activated in order to access the rights, features, and Services available to Members on the Mokrica Platform.


This Agreement is established to ensure that the registration, use, and management of Member Accounts are conducted in a transparent, consistent, and lawful manner in accordance with Mokrica's policies and applicable laws.


1.2. Scope of Application


This Agreement applies to all Users who have registered for or use a Member Account on the Mokrica Platform.


The registration, activation, use, and management of a Member Account shall be governed by this Agreement, the Terms of Use (INSERT LINK), and any other applicable agreements or policies published by Mokrica from time to time.


1.3. Acceptance of this Agreement


By registering for, activating, or continuing to use a Member Account, the User acknowledges that they have read, understood, and agreed to be bound by this Agreement and Mokrica's applicable legal documents.


If the User does not agree with any provision of this Agreement, the User should not register for or continue using a Member Account.


1.4. Relationship with Other Legal Documents


This Agreement governs matters relating to the registration, use, rights, benefits, obligations, and responsibilities of Members.


For matters not specifically addressed in this Agreement, or where such matters are governed by a specialized Mokrica legal document, the applicable specialized document shall prevail within its respective scope, including but not limited to:


•    Terms of Use, governing the general rules for accessing and using the Services, Users' rights and obligations, enforcement measures, limitation of liability, intellectual property rights, governing law, and dispute resolution. (INSERT LINK) 
•    Payment & Moca Policy, governing matters relating to Moca, Moca Packages, payments, refunds, credit restoration, commissions, rewards, CDR, TMR, withdrawals, and other financial matters. (INSERT LINK) 
•    Channel Policy, governing the creation, management, participation, connection, and operation of Channels. (INSERT LINK) 
•    Privacy Policy, governing the collection, use, storage, disclosure, and protection of Users' personal data. (INSERT LINK) 

 

 

2. MEMBER ACCOUNT REGISTRATION AND ACTIVATION


2.1. Eligibility for Registration


A User may register for a Member Account upon satisfying the eligibility requirements published by Mokrica from time to time.


Applicants must possess full legal capacity in accordance with applicable law and are responsible for the accuracy, completeness, truthfulness, and legality of all information and documents provided during the registration process.


Each User may register for and use only one Member Account, unless otherwise approved by Mokrica or required by applicable law.


The submission of a registration application does not automatically confer Member status. Member rights and benefits shall arise only after the Member Account has been reviewed and activated by Mokrica in accordance with its applicable procedures.


2.2. Registration Information and Documentation


Applicants are responsible for providing complete, accurate, truthful, and up-to-date information and documents as required by Mokrica.


Mokrica reserves the right to request that applicants supplement, amend, or verify their information whenever necessary for the purposes of reviewing applications, administering Member Accounts, preventing fraud, maintaining Platform security, or complying with applicable laws.


Where necessary, Mokrica may require applicants to provide appropriate identification documents or supporting materials for verification purposes.


Failure to provide complete information, providing inaccurate information, refusing verification, or failing to comply with Mokrica's reasonable requests may result in the application not being approved or the Member Account not being activated.


2.3. Review and Activation of a Member Account


A Member Account registration shall become effective only after it has been reviewed and activated by Mokrica in accordance with its applicable procedures.


During the review process, Mokrica reserves the right to:


•    Request that the applicant provide additional information or update submitted documents; 
•    Suspend the review process until the application has been completed; 
•    Approve or reject the application in accordance with Mokrica's policies and applicable laws. 


Once a Member Account has been activated, the Member shall, within the same User Account, simultaneously be granted access to the customer functions for the purpose of using the Services provided by Mokrica.


Such functions may include, but are not limited to, creating and managing Orders, using Moca, preparing and managing quotations, invoices, and related documents, monitoring the use of Services, and accessing other functions available for the respective Services provided by Mokrica.


The activation of these functions does not create a separate login account or a new User Account, but only expands the scope of rights and permissions available within the same Member Account.


The use of such rights, benefits, features, and Services shall be governed by this Agreement, the Terms of Use, the Payment & Moca Policy, and the other applicable legal documents of Mokrica.


2.4. Verification and Updating of Information


During the use of a Member Account, Mokrica may require a Member to verify, update, or supplement their information whenever necessary in order to:


•    Ensure the accuracy of the Member's profile; 
•    Protect the security of the Member Account and the Platform; 
•    Prevent fraud or abuse of the Services; 
•    Comply with applicable laws or the requirements of competent governmental authorities. 


Members are responsible for promptly updating any changes to their information and shall be responsible for any consequences arising from failing to update their information or from providing inaccurate information.


2.5. Suspension or Termination of a Member Account


Mokrica reserves the right to suspend, deactivate, or terminate a Member Account under any of the following circumstances:


•    The Member no longer satisfies the applicable eligibility requirements; 
•    The submitted information or documents are inaccurate, incomplete, false, or suspected to be fraudulent; 
•    The Member fails to comply with Mokrica's reasonable requests for verification or information updates; 
•    The Member violates this Agreement, the Terms of Use, or any other applicable Mokrica policies or agreements; 
•    Any other circumstances permitted under applicable laws or Mokrica's policies. 


The suspension or termination of a Member Account shall not affect any rights, obligations, or liabilities that arose prior to the enforcement of such measures, unless otherwise provided by applicable law or agreed by the parties.


2.6. Restoration of a Member Account


Where a Member Account has been suspended because the applicable requirements have not been fully satisfied, the Member may supplement, update, or complete the required information or documentation as requested by Mokrica in order to request restoration of the account.


The Member Account may be restored after Mokrica confirms that the Member has satisfied all applicable requirements in accordance with Mokrica's policies.

 


3. MEMBER RIGHTS AND BENEFITS


3.1. Use of Member Features


Upon activation of a Member Account, a Member may access and use the features and Services available to Members within the scope published by Mokrica from time to time.


The use of such features and Services shall be governed by this Agreement, the Terms of Use (INSERT LINK), and the other applicable legal documents of Mokrica.


3.2. Creating Orders and Preparing Quotations


Members are entitled to create Orders, prepare quotations, monitor processing progress, and manage Orders within the scope of their authorized access on the Platform.


The creation, management, and use of Order-related features shall be carried out in accordance with the procedures published by Mokrica.


3.3. Use of the Moca Balance


Members may use Moca to create Orders and access Services in accordance with the scope, conditions, and requirements established by Mokrica.


All matters relating to Moca, Moca Packages, payments, balance restoration, refunds, and other financial matters shall be governed by the Payment & Moca Policy (INSERT LINK).


3.4. Acceptance of Eligible Orders


Where a Member also satisfies the eligibility requirements applicable to Translators, the Member may accept eligible Orders available on the Platform.


The registration, review, acceptance, and performance of Orders in the capacity of a Translator shall be governed by the Translator Agreement (INSERT LINK).


3.5. Financial Benefits and Incentive Programs


Members may be eligible to receive financial benefits or participate in incentive programs implemented by Mokrica, including but not limited to commissions, rewards, CDR, TMR, and other benefits in accordance with Mokrica's policies.


The applicable eligibility requirements, recording methods, calculation methods, payment schedules, and related matters shall be governed by the Payment & Moca Policy (INSERT LINK).


3.6. Participation in and Connection with Channels


Members may participate in, connect with, or be invited to join Channels in accordance with Mokrica's policies.


The rights, benefits, and obligations relating to Channels shall be governed by the Channel Policy (INSERT LINK).


3.7. Support, Feedback, and Complaints


Members may submit requests for support, feedback, suggestions, or complaints relating to their Member Account or the use of the Services through the official support channels designated by Mokrica.


Mokrica shall receive and review such requests in accordance with the procedures applicable from time to time.


3.8. Registration for Additional Services and Expanded Access Rights


Members may apply for or be approved to access additional Services, features, programs, or user roles offered by Mokrica, provided that they satisfy the applicable eligibility requirements.


The use of such Services, features, programs, or corresponding rights shall be governed by the Terms of Use and the applicable Mokrica agreements or policies specific to each type of Service (INSERT LINK).

 


4. MEMBER OBLIGATIONS


4.1. Providing and Updating Information


Members are responsible for providing complete, accurate, truthful, and lawful information and supporting documents as required by Mokrica during the registration, use of the Member Account, and use of the Services.


Where any registered information changes, Members shall promptly update such information to ensure the accuracy of their account records and the proper use of the Services.


4.2. Management and Security of the Member Account


Members are responsible for managing and safeguarding their Member Account, login credentials, and authentication methods under their control.


Members are responsible for all activities conducted through their Member Account unless they can demonstrate that any unauthorized use did not result from their own fault or negligence.


If a Member discovers or reasonably suspects that the Member Account has been accessed or used without authorization, or that the security of the account has been compromised, the Member shall notify Mokrica as soon as reasonably practicable so that appropriate measures may be taken.


4.3. Proper Use of the Services


Members shall use the Services, Platform features, and the Member Account only for their intended purposes and in compliance with this Agreement, the Terms of Use, and the other applicable legal documents of Mokrica (INSERT LINK).


Members shall not misuse their Member status or any Platform features to engage in unlawful activities or to infringe upon the lawful rights and interests of Mokrica, other Users, or any third party.


4.4. Payment Obligations


Members are responsible for making full and timely payment of all fees and charges arising from their use of the Services in accordance with Mokrica's applicable policies.


All matters relating to Moca, Moca Packages, payments, balance restoration, refunds, and other financial matters shall be governed by the Payment & Moca Policy (INSERT LINK).


4.5. Cooperation with Mokrica


Members shall cooperate with Mokrica in connection with identity verification, information verification, support requests, complaint handling, fraud prevention, system security, and other circumstances where such cooperation is reasonably required.


Upon Mokrica's reasonable request, Members shall provide relevant information or documents and cooperate in implementing the necessary measures to facilitate the review and resolution of related matters.


4.6. Compliance with Mokrica's Legal Documents


Members shall comply with this Agreement, the Terms of Use, the Payment & Moca Policy, the Channel Policy, the Privacy Policy, and all other applicable legal documents of Mokrica relating to their use of the Services (INSERT LINKS TO EACH DOCUMENT).


4.7. Member Commitments


Members undertake to use their Member Account and the Services honestly, in good faith, and responsibly, while respecting the lawful rights and interests of Mokrica, other Users, and third parties.


Members further undertake to cooperate with Mokrica in maintaining a transparent, secure, professional, and trustworthy environment for the use of the Services, while respecting the lawful rights and interests of all participants on the Platform.


The obligations and commitments set out in this Agreement shall remain applicable throughout the period during which the Member Account remains active and shall not affect any other obligations of the Member under the Terms of Use, other applicable Mokrica policies or agreements, or applicable law.

 


5. USE OF SERVICES AND MEMBER FEATURES


5.1. Use of the Services


Upon activation of a Member Account, Members may access and use the Services and features provided by Mokrica within the scope, conditions, and access rights applicable to each Service.


The use of the Services shall be governed by this Agreement, the Terms of Use, the applicable Mokrica policies and agreements, and applicable law.


5.2. Providing Information, Documents, and Creating Orders


To use the Services, Members are responsible for providing complete, accurate, and sufficient information, documents, data, and other required materials in accordance with the procedures applicable to each Service.


Based on the information provided by the Member, the Member may create, manage, and monitor Orders within the scope of the Services made available by Mokrica.


Depending on the Member's role and the access rights granted, the Member may create or manage Orders for themselves, on behalf of customers, or for other lawful purposes permitted by Mokrica.


Members are solely responsible for the legality, accuracy, completeness, and lawful right to use all information, documents, and data they provide.


5.3. Management of Quotations, Invoices, and Related Documents


To the extent supported by Mokrica, Members may create, manage, confirm, modify, or use quotations, invoices, and related documents for the purpose of using the Services.


Members are responsible for the accuracy, completeness, and legality of all information used to create or modify such documents.


5.4. Use of Moca and Payment Obligations


Where a Service is subject to the use of Moca, Members may be granted a Moca balance by Mokrica under the "Use First – Pay Later" program for the purpose of creating Orders and using the applicable Services within the permitted scope.


The use of the Moca balance gives rise to the Member's payment obligation for the amount of Moca actually used in accordance with Mokrica's policies.


After the Member has fully satisfied the applicable payment obligations, Mokrica shall restore the corresponding Moca balance and record any applicable benefits in accordance with the Payment & Moca Policy.


The conditions relating to Moca allocation, Moca Packages, usage limits, payment methods, balance restoration, and all other financial matters shall be governed by the Payment & Moca Policy (INSERT LINK).


5.5. Monitoring the Use of the Services


During the use of the Services, Members may monitor Orders, manage documents, quotations, invoices, transaction history, messages, notifications, and other related information through the features provided by Mokrica.


Members shall cooperate with Mokrica and respond promptly to reasonable requests arising during the provision of the Services in order to ensure the continuous and proper execution of Orders.


5.6. Receiving Deliverables and Confirming Completion of the Services


Upon delivery of the Service results, Members may review, approve, or request revisions in accordance with the procedures applicable to the relevant Service.


Confirmation of Service completion by the Member, or completion of the Service as determined under Mokrica's published procedures, shall give rise to the corresponding rights and obligations of the Member under this Agreement and the applicable Mokrica policies.


5.7. Accepting and Performing Orders as a Translator


Where a Member also satisfies the eligibility requirements applicable to Translators, the Member may register for, accept, and perform eligible Orders on the Platform.


Where permitted by the Platform and subject to the applicable conditions, a Member may also accept and perform Orders created by the same Member in the capacity of a Translator.


The registration, review, acceptance, and performance of Orders in the capacity of a Translator shall be governed by the Translator Agreement (INSERT LINK).


5.8. Changes and Updates to the Services


Mokrica reserves the right to add, modify, or update the Services, features, procedures, or methods of providing the Services in order to improve operational efficiency, support the continued development of the Platform, or comply with applicable law.


Any such changes shall be announced or notified by Mokrica through appropriate means prior to their implementation or at the time they become effective, depending on the nature of the changes.

 


6. BREACHES AND ENFORCEMENT OF THE MEMBER AGREEMENT


6.1. Breaches of this Agreement


A Member shall be deemed to have breached this Agreement if the Member engages in one or more of the following acts:


•    Fails to perform, or improperly performs, any obligation set out in this Agreement. 
•    Provides incomplete, inaccurate, false, misleading, or outdated information, documents, or data that adversely affect the use of the Services. 
•    Uses the Member Account, the Services, Moca, or any Platform features for unauthorized purposes, beyond the scope of the granted rights, or in violation of Mokrica's policies. 
•    Fails to fulfill payment obligations for the amount of Moca used or any other financial obligations in accordance with Mokrica's requirements. 
•    Violates the Terms of Use, the Payment & Moca Policy, the Translator Agreement, the Channel Policy, the Privacy Policy, or any other applicable legal documents of Mokrica relating to the use of the Services. 


6.2. Mokrica's Right to Take Enforcement Actions


Where Mokrica detects or reasonably determines that a Member has committed a breach, Mokrica may review the matter and take one or more appropriate enforcement measures, including but not limited to:


•    Requiring the Member to provide explanations, additional information, or corrective actions. 
•    Issuing warnings or notices to the Member. 
•    Restricting or temporarily suspending the Member's access to part or all of the Member features, Services, or Member rights. 
•    Temporarily suspending or terminating the Member Account in accordance with Mokrica's policies. 
•    Refusing or temporarily suspending the provision of Services relating to Orders affected by the breach. 
•    Applying any other measures permitted under the Terms of Use, Mokrica's policies, or applicable law. 


The enforcement measures shall be determined based on the nature, severity, consequences of the breach, and other relevant circumstances.


6.3. Member Responsibilities


Members are responsible for all activities conducted through their Member Account unless they can demonstrate that the unauthorized use did not result from their own fault or negligence.


Where a Member's breach causes damage to Mokrica, other Users, or any third party, the Member shall be responsible for remedying the consequences and compensating for any damages in accordance with applicable law or any agreement between the relevant parties (if any).


The failure or delay by Mokrica in exercising any enforcement measure in a particular case shall not be construed as a waiver of Mokrica's right to take action with respect to that breach or any subsequent breach.


6.4. Effectiveness and Application of this Agreement


This Agreement shall apply together with the Terms of Use, the Payment & Moca Policy, the Translator Agreement, the Channel Policy, the Privacy Policy, and the other applicable legal documents of Mokrica.


Where there is any inconsistency between this Agreement and a specific Mokrica legal document concerning the same subject matter, the specific legal document shall prevail within its respective scope of application.


Any matters not expressly governed by this Agreement shall be governed by the Terms of Use, the applicable Mokrica policies and agreements, and applicable law.


6.5. Reservation of Rights by Mokrica


Mokrica's exercise or non-exercise of any right, remedy, or enforcement measure under this Agreement shall not affect, limit, or constitute a waiver of any other rights or remedies available to Mokrica under the Terms of Use, the applicable Mokrica policies or agreements, or applicable law.

1. MOKRICA COMMUNITY CODE OF CONDUCT


1.1. Purpose


This Community Code of Conduct (the "Code") sets out the principles of conduct, professional standards, and collaborative values that Mokrica encourages all individuals and organizations to uphold when participating in or using the Services on the Mokrica Platform.


Mokrica believes that a professional language services community is built not only on technology and high-quality Services, but also on integrity, responsibility, respect, and collaboration. These values form the foundation for building trust, enhancing Service quality, and fostering a transparent, secure, and sustainable community.


This Code is intended to provide guidance on appropriate conduct, encourage collaboration and accountability, protect the legitimate rights and interests of all parties, enhance the customer experience, and promote a professional, transparent, and trustworthy environment for the delivery of Services.


This Code applies to all individuals and organizations participating in or otherwise involved in the use of the Services on the Mokrica Platform, including, without limitation, Users, Customers, Members, Translators, Channel Owners, Businesses, partners, and other collaborating parties.


Mokrica encourages everyone within the community to follow this Code in order to build a professional, respectful, transparent, and sustainable language services community.

 


2. PRINCIPLES OF CONDUCT


2.1. Integrity


All individuals and organizations participating on the Mokrica Platform are encouraged to act honestly, transparently, and responsibly in all activities. Information should be provided accurately, Services should be used responsibly, work should be performed in good faith, commitments should be honored, and the Platform should never be used to engage in fraudulent conduct or to adversely affect the legitimate rights or interests of others.


2.2. Professionalism


Everyone participating on the Mokrica Platform should maintain a professional attitude, follow established processes, honor their commitments, and respect the quality standards applicable to the Services.


Throughout every collaboration, all parties are encouraged to collaborate proactively, communicate openly and clearly, and carry out their work responsibly to help deliver the best possible experience for Customers.


2.3. Respect


Mokrica is committed to fostering a respectful and inclusive working environment where individuals and organizations are treated fairly and collaborate in good faith.


All parties are encouraged to respect one another's legitimate rights and interests, differences, opinions, and roles while using the Services, and to refrain from harassment, discrimination, abusive behavior, or any conduct that negatively affects the community.


2.4. Responsibility


Every individual and organization should take responsibility for their actions, decisions, and commitments while using the Platform.


When issues arise, all parties are encouraged to collaborate proactively, communicate openly, and work together in good faith and with mutual respect to resolve issues in a fair and constructive manner.


2.5. Collaboration


Collaboration among Customers, Members, Translators, Channel Owners, Businesses, partners, and Mokrica is fundamental to building an efficient and sustainable language services ecosystem.


Everyone is encouraged to share relevant information where appropriate, support one another within reasonable limits, and work together toward improving Service quality and the overall User experience.


2.6. Confidentiality


All parties should respect the confidentiality of the documents, data, and information they access while using the Services.


Information should be used or shared only for legitimate purposes, within the permitted scope, and in accordance with the commitments between the parties and Mokrica's applicable legal documents.


2.7. Compliance


All individuals and organizations participating on the Mokrica Platform are expected to comply with this Code, the Terms of Use, Mokrica's other applicable legal documents, and applicable law in connection with their use of the Services.


Compliance with these principles helps protect the legitimate rights and interests of everyone involved while contributing to a professional, transparent, and trustworthy Mokrica community.

 


3. COMMITMENT TO SERVICE QUALITY


3.1. Customer-Centric Approach


Mokrica is committed to delivering a positive Customer experience by providing professional, transparent, and trustworthy Services.


Everyone participating on the Platform is encouraged to understand Customers' needs, collaborate in good faith, and make reasonable efforts to meet those needs within the scope of their capabilities, commitments, and Mokrica's applicable requirements.


3.2. Professional Service Delivery


Services should be delivered with professionalism, accountability, and respect for commitments.


Each Order should be completed in accordance with the agreed process, scope of work, delivery schedule, and the Customer's applicable requirements.


3.3. Transparency and Honesty


Throughout the delivery of the Services, information should be communicated clearly, honestly, and in a timely manner.


Parties should not provide false or misleading information or make commitments beyond their reasonable ability to perform.


Where an issue may affect quality or delivery timelines, the relevant parties are encouraged to communicate promptly and cooperate in identifying an appropriate solution.


3.4. Continuous Improvement


Mokrica encourages everyone within the community to welcome constructive feedback, improve working practices, and continually enhance the quality of the Services.


Constructive suggestions, feedback, and innovative ideas play an important role in improving the Platform, strengthening Service delivery, and supporting the sustainable growth of the Mokrica community.


Mokrica aims not only to connect Customers with Service providers but also to establish shared quality standards across the entire community.

 


4. CUSTOMER SATISFACTION


4.1. Respecting and Listening to Customers


Mokrica encourages everyone participating on the Platform to listen to Customers, respect their opinions, and receive their feedback with openness, professionalism, and a genuine willingness to improve.


Customer feedback is an essential source of insight for improving the Services and enhancing the overall Platform experience.


4.2. Communication and Support


Throughout the delivery of the Services, communication should be clear, courteous, and timely, and Customers should be supported within the scope of each party's responsibilities.


Requests should be acknowledged and addressed within a reasonable period to minimize any disruption to the use of the Services.


4.3. Handling Feedback and Complaints


Customer feedback and complaints should be received objectively, professionally, and in good faith.


All parties are encouraged to cooperate in verifying the relevant information, communicate openly, and work together to identify appropriate solutions that protect the legitimate rights and interests of Customers.


4.4. Continuously Improving the Customer Experience


Mokrica regards Customer satisfaction as a driving force for continuously improving the Platform and enhancing the quality of its Services.


By listening to feedback, refining processes, and leveraging technology, Mokrica strives to deliver a convenient, transparent, secure, and trustworthy experience for every User.

 


5. CONFIDENTIALITY OF INFORMATION AND DOCUMENTS


5.1. Respect for Privacy and Confidentiality


Mokrica encourages everyone participating on the Platform to respect the privacy, confidentiality, and legitimate rights and interests of Customers, Users, partners, and other relevant parties.


Any information, documents, or data accessed while providing or using the Services should be used only for their intended purpose and within the permitted scope.


5.2. Protection of Documents and Information


All parties are responsible for safeguarding the documents, data, and information they access or manage while providing the Services.


Documents, data, and information should not be used, copied, shared, or otherwise exploited beyond what is necessary for providing the Services or without proper authorization from the rights holder or as otherwise permitted by law.


5.3. Confidentiality During Collaboration


Throughout communication and collaboration, appropriate measures should be taken to maintain the confidentiality of documents and information.


Where information is subject to confidentiality obligations under a contract, agreement, or applicable law, all parties are expected to comply fully with those obligations.


5.4. Respect for Intellectual Property


All parties should respect copyrights, intellectual property rights, and other legitimate rights relating to documents, content, and Service deliverables.

6.1. Collaboration in Good Faith


Mokrica encourages everyone participating on the Platform to collaborate in good faith, with mutual respect and responsibility, to create value for Customers and the broader community.


While using the Services, all parties are encouraged to communicate openly, work collaboratively, and resolve issues cooperatively while respecting one another's legitimate rights and interests.


6.2. Sharing Knowledge and Growing Together


Mokrica encourages everyone to share their knowledge and experience, support one another, and contribute constructive ideas to enhance the quality of the Services and foster the continued growth of the community.


Every positive contribution helps create a respectful collaborative environment, strengthen connections, and promote positive values throughout the Platform.


6.3. Mokrica's Commitment


Mokrica is committed to continuously improving the Platform, enhancing its operational processes, and delivering high-quality Services that provide a convenient, transparent, and trustworthy experience for every User.


At the same time, Mokrica encourages the development of a language services community built on integrity, professionalism, respect, collaboration, and responsibility—one in which every individual and organization has the opportunity to grow, contribute meaningful value, and work together toward the sustainable development of the community.

1. INTRODUCTION


1.1. Purpose


This Channel Policy sets out the rules governing the establishment, activation, management, development, and operation of Channels on the Mokrica platform. It also defines the rights, obligations, and responsibilities of Channel Owners, Members, Businesses, and other relevant parties participating in or using a Channel.


This Policy is established to provide a consistent, transparent, and efficient framework for Channel operations; to support Channel Owners in developing their networks of Members and Businesses; to facilitate the management of Orders and transactions generated through Channels; and to provide the basis for applying Channel-related programs, benefits, and platform features made available by Mokrica.


1.2. Scope of Application


This Policy applies to the establishment, activation, management, development, and use of Channels on the Mokrica platform.


This Policy applies to Channel Owners, Members, Translators, Businesses, and any other Users who participate in or use Channel-related features.


Matters relating to User Accounts, the rights and obligations of Members, the provision of Translator Services, the use of Moca, payments, financial records, benefits, personal data protection, and other matters not specifically governed by this Policy shall be subject to the Terms of Use, Member Agreement, Translator Agreement, Payment & Moca Policy, Privacy Policy, and any other applicable Mokrica legal documents.


1.3. Definition of a Channel


A Channel is a feature available on the Mokrica platform that enables a Channel Owner to establish, manage, and develop a dedicated operational space for connecting Members, Businesses, and supporting activities relating to the Services provided by Mokrica.


Through a Channel, a Channel Owner may use the features provided by Mokrica to:


•    establish and manage the Channel profile; 
•    share the Channel URL; 
•    connect with and develop a network of Members; 
•    introduce and connect Businesses through the methods supported by Mokrica; 
•    monitor and manage Channel activities; and 
•    participate in Channel programs, benefits, and features made available by Mokrica. 


A Channel is designed to help Channel Owners build Member communities, expand their Business network, record eligible Orders, transactions, and activities generated through the Channel, and provide the basis for applying Channel-specific programs, benefits, and features in accordance with Mokrica's policies.


All activities conducted through a Channel shall take place on the Mokrica platform and shall be governed by this Policy together with all other applicable Mokrica legal documents.

 


2. CHANNEL ESTABLISHMENT, ACTIVATION, AND MANAGEMENT


2.1. Eligibility to Create a Channel


A User may create a Channel upon satisfying the eligibility requirements established by Mokrica from time to time.


The eligibility requirements may include the use of a Moca Package or other conditions announced by Mokrica. Provisions relating to Moca Packages shall be governed by the Payment & Moca Policy.


Meeting the eligibility requirements allows the User to create and configure a Channel on the Mokrica platform using the features provided by the system.


2.2. Channel Setup


After satisfying the eligibility requirements, the User may configure the Channel using the features made available by the Mokrica platform.


Channel information may include, but is not limited to:


•    Channel name; 
•    logo; 
•    banner; 
•    Channel description; 
•    business sector or area of operation; 
•    language pairs; 
•    contact information; 
•    introduction content; and 
•    other information supported by the system. 


The Channel Owner is responsible for ensuring that all Channel information remains accurate, complete, lawful, and up to date throughout the operation of the Channel.


2.3. Channel Activation


A Channel shall be activated after the Channel setup has been completed and all applicable requirements have been satisfied.


From the time the Channel is activated, the Channel Owner may use the Channel features within the scope supported by the Mokrica platform.


The activation of a Channel does not mean that all Channel features become immediately available. Certain features may only be accessible when the Channel Owner or the Channel satisfies additional eligibility requirements or participates in applicable Mokrica programs.


2.4. Channel URL


After a Channel is activated, the Mokrica platform assigns a unique Channel URL to each Channel for the purpose of sharing the Channel and connecting Users with it.


Through the Channel URL, Users may access features supported by the platform, including but not limited to:


•    viewing Channel information; 
•    registering to join the Channel through supported methods; 
•    creating Orders through the Channel; 
•    connecting Businesses with the Channel; 
•    recording eligible Orders, transactions, and activities generated through the Channel; and 
•    other features introduced by Mokrica. 


2.5. Channel Management, Development, and Use


After a Channel has been activated, the Channel Owner may manage, develop, and operate the Channel using the features, tools, and configuration options provided by the Mokrica platform.


During the operation of the Channel, the Channel Owner may use Channel features in accordance with the eligibility requirements applicable to the Channel, the Moca Package, and any programs introduced by Mokrica.


The scope of available Channel features may be expanded from time to time as the Mokrica platform evolves in order to better support the management, development, and operation of Channels.

 


3. CHANNEL DEVELOPMENT


3.1. Principles of Channel Development


After a Channel has been activated, the Channel Owner has the right to independently establish, develop, and operate the Channel in accordance with their own strategy, objectives, business sector, and development direction through the features, tools, and programs supported by Mokrica.


Mokrica respects the Channel Owner's autonomy in determining how to develop the Channel and encourages the expansion of Member networks, Business connections, and Channel activities in an efficient, transparent, and sustainable manner.


Channel development shall comply with this Policy, all applicable Mokrica legal documents, and applicable laws.


The Channel Owner's chosen development approach does not create any right to require Mokrica to provide or enable any features, tools, programs, or usage rights beyond those supported or officially made available by the Mokrica platform.


3.2. Methods of Channel Development


A Channel Owner may develop a Channel through the methods supported by Mokrica, including but not limited to:


•    sharing the Channel URL; 
•    distributing online registration forms; 
•    submitting Business lists using templates provided by Mokrica; 
•    inviting Members (including Translators) to join the Channel in accordance with the functions and conditions supported by the platform; 
•    connecting Businesses to the Channel; and 
•    any other methods introduced by Mokrica. 


The development of a Channel's Member network may be carried out through:


•    Members recommended by the Mokrica platform; or 
•    individuals referred by the Channel Owner who register in accordance with Mokrica's requirements. 


For Members recommended by the Mokrica platform, only accounts that have completed the registration and approval process and satisfy Mokrica's eligibility requirements at the time of recommendation may be recommended.


For individuals referred by the Channel Owner, participation in the Channel shall only become effective after completing the registration and approval process and satisfying Mokrica's applicable requirements.


The approval of a Member or Translator, or their participation in a Channel, does not guarantee the allocation of Orders, the receipt of income, or entitlement to any benefits other than those expressly provided by Mokrica.


The ability to invite Members or connect Businesses may be expanded or limited based on the Channel's eligibility, operational performance, or applicable Mokrica programs.


The Channel Owner is responsible for ensuring that all information submitted or provided to Mokrica is accurate, complete, lawful, and intended solely for legitimate Channel development purposes.


The Channel Owner shall not use Channel development tools to collect, use, disclose, or otherwise process information relating to Members or Businesses in violation of applicable laws, the Privacy Policy, or any other Mokrica legal documents.


3.3. Business Approval and Connection


For Business connection or support programs offered by Mokrica, a Business may register through a Channel URL, an online registration form, a Business list submitted using Mokrica's template, or any other methods supported by Mokrica.


Mokrica may require the Channel Owner or the Business to provide additional information, update existing information, or complete a verification process before approving or connecting the Business to the Channel.


The approval process, Business support programs, and the connection of Businesses to Channels shall be carried out in accordance with the procedures and eligibility requirements established by Mokrica from time to time.


Business support programs, including Moca budget programs and any other promotional or support programs (if applicable), shall be governed by the Payment & Moca Policy or other policies announced by Mokrica.


3.4. Recording Channel Activities


The Mokrica platform records eligible Orders, transactions, and activities generated through a Channel based on the data maintained by the platform.


For Businesses connected through a Channel URL or other methods supported by Mokrica, Channel attribution shall be recorded when an eligible Order is generated through the platform, including Orders paid online or created using Moca.


Connecting Members or Businesses to a Channel does not alter Mokrica's rules governing the recording and attribution of Channel activities.


Recorded Channel activities serve as the basis for evaluating Channel performance and determining eligibility for applicable programs, benefits, or management mechanisms established by Mokrica.


The recording of Channel activities does not by itself create any immediate entitlement to Channel benefits, incentive programs, or rewards. Such benefits shall only be granted when the applicable eligibility requirements under this Policy and other Mokrica legal documents have been satisfied.


Where any discrepancy exists between information provided by a User and the data recorded by the Mokrica platform, the platform's records shall prevail unless Mokrica determines that a technical error has occurred or otherwise provides.


3.5. Channel Development Requirements


During the operation of a Channel, additional features, tools, programs, or usage rights may become available when the Channel satisfies the eligibility requirements established by Mokrica.


Such eligibility requirements may be determined based on the Channel's operational performance, Moca Package, Channel development level, or any other criteria announced by Mokrica from time to time.


As the Mokrica platform continues to evolve, Mokrica may develop, introduce, modify, or expand Channel features, tools, and programs to improve Channel management, operation, and development.


The availability of Channel features, tools, or programs may be restricted, suspended, or discontinued if the Channel no longer satisfies the applicable requirements, violates Mokrica's policies, or falls within any other circumstances determined by Mokrica.


All such features, tools, programs, and usage rights shall be subject to the eligibility requirements and scope announced by Mokrica from time to time.


3.6. Responsibilities of the Channel Owner


In developing and operating a Channel, the Channel Owner shall:


•    comply with this Policy and all applicable Mokrica legal documents; 
•    use Channel features, tools, and programs solely for their intended purposes; 
•    provide, maintain, and update accurate, complete, and lawful information; 
•    ensure that Member invitations, Business connections, and Channel development activities are conducted transparently, for legitimate purposes, and in accordance with Mokrica's requirements; 
•    refrain from inviting or connecting Members, Translators, or Businesses through false, misleading, fraudulent, or otherwise unauthorized methods; 
•    cooperate with Mokrica in verifying information or resolving issues relating to the Channel when reasonably requested; and 
•    refrain from using the Channel, Mokrica support programs, or any Mokrica tools for fraudulent purposes, providing false information, or engaging in any unlawful activities or activities that violate this Policy. 

 


4. ORDERS THROUGH CHANNELS


4.1. Orders Through a Channel


An Order through a Channel is an Order that the Mokrica platform determines to have originated through a Channel URL or any other Channel connection methods supported by Mokrica.


Orders may be created by a User, Member, or Business through the functions provided by the Mokrica platform.


Only Orders determined by the Mokrica platform to have originated through a Channel shall be eligible for Channel-related attribution, statistics, benefits, and programs in accordance with Mokrica's policies.


4.2. Order Distribution and Acceptance


After an Order is generated through a Channel, the Mokrica platform may automatically distribute or display the Order to eligible Members in accordance with the platform's applicable requirements.


Order distribution or display may be determined based on various factors, including but not limited to:


•    language pairs; 
•    areas of specialization; 
•    professional qualifications; 
•    permissions; 
•    account status; 
•    Member performance; and 
•    any other criteria established by Mokrica from time to time. 


The distribution or display of an Order does not guarantee that every Member will have access to or be eligible to accept the same Order. Order visibility and acceptance rights shall be determined by the platform based on the applicable eligibility requirements.


The distribution or recommendation of an Order does not create any priority right or exclusive right for any Member or Channel to accept the Order unless otherwise determined by the Mokrica platform or expressly provided by Mokrica.


A Member may accept an Order only after satisfying the applicable eligibility requirements established by Mokrica.


4.3. Order Coordination and Management


Within the scope of the features supported by the Mokrica platform, a Channel Owner may monitor, coordinate, transfer, or otherwise manage Orders associated with the Channel.


The Mokrica platform may automatically distribute or recommend Orders to suitable Members to help ensure that Orders are accepted and processed in a timely manner.


Where a Channel does not have a suitable Member or no Member satisfies the requirements for accepting an Order, the Mokrica platform may coordinate, distribute, or connect the Order to another eligible Member or Channel for further processing.


Mokrica reserves the right to apply Order coordination mechanisms to ensure that Users receive appropriate, continuous, and timely Services to the extent reasonably supported by the platform.


For Orders determined by the Mokrica platform to have originated through a Channel URL or any other Channel connection methods supported by Mokrica, coordinating or assigning such Orders to another Member or Channel for processing shall not affect the original Channel attribution, unless otherwise provided or announced by Mokrica.


Order coordination or cross-Channel processing shall not be interpreted as transferring Channel ownership, Order attribution, or any rights or benefits associated with the originating Channel, unless otherwise provided or announced by Mokrica.


Order coordination shall not alter the rights, obligations, or responsibilities of any party under this Policy or any other applicable Mokrica legal documents.


4.4. Order Completion and Attribution


An Order shall only be attributed to a Channel after satisfying all attribution requirements established by the Mokrica platform, including but not limited to completion status, approval status, or any other conditions determined by Mokrica from time to time.


For Orders originating through a Channel, both online payments and Orders created using Moca may qualify for attribution, provided that the applicable attribution requirements have been satisfied.


Order attribution serves as the basis for determining Channel activity and the application of Channel-related programs, benefits, and management mechanisms established by Mokrica.


Order attribution does not, by itself, create any immediate entitlement to Channel benefits, incentive programs, or rewards. Such benefits shall only apply when all applicable eligibility requirements under this Policy and other Mokrica legal documents have been satisfied.


Where any discrepancy exists between information provided by a User and the data recorded by the Mokrica platform, the platform's records shall prevail unless Mokrica determines that a technical error has occurred or otherwise provides.


4.5. Order Modification, Cancellation, and Adjustment


The modification, cancellation, or adjustment of an Order shall be governed by the Terms of Use, Member Agreement, Payment & Moca Policy, and any other applicable Mokrica legal documents.


Any modification, cancellation, or adjustment of an Order may affect Channel activity records, applicable benefits, or Channel programs in accordance with Mokrica's policies.


4.6. Responsibilities of Channel Owners and Members


When accepting, coordinating, or managing Orders through a Channel, Channel Owners and Members shall:


•    comply with this Policy and all applicable Mokrica legal documents; 
•    perform their functions, responsibilities, and procedures in accordance with the features supported by the Mokrica platform; 
•    accept, coordinate, and manage Orders for their intended purposes and in compliance with Mokrica's requirements; 
•    refrain from interfering with, manipulating, or exploiting the platform to improperly influence the distribution, acceptance, or attribution of Orders; 
•    refrain from colluding, committing fraud, or manipulating the Order coordination process in order to alter platform data, benefits, or Mokrica programs; and 
•    cooperate with Mokrica in verifying information or resolving any issues relating to Orders when reasonably requested. 

 


5. CHANNEL BENEFITS AND PROGRAMS


5.1. General Principles


Mokrica provides various benefits, programs, tools, and support mechanisms to facilitate the development, expansion, management, and operation of Channels on the Mokrica platform.


Channel benefits shall be granted in accordance with this Policy, other applicable Mokrica legal documents, the eligibility requirements of each program, and the policies announced by Mokrica from time to time.


The application of a particular benefit, program, or feature to a Channel shall not be construed as entitling the Channel to all other Mokrica benefits, programs, or features.


5.2. Recording of Channel Benefits


Channel benefits shall be determined based on the data recorded by the Mokrica platform.


The recording of Channel benefits may be based on, including but not limited to:


•    eligible Orders generated through the Channel; 
•    Businesses attributed to the Channel; 
•    Members participating in and actively using the Channel; 
•    the Channel's operational performance; 
•    satisfaction of the eligibility requirements of each applicable program; and 
•    any other data or criteria established by Mokrica. 


Where any discrepancy exists between information provided by a User and the data recorded by the Mokrica platform, the platform's records shall prevail unless Mokrica determines that a technical error has occurred or otherwise provides.


5.3. Channel Benefits


Subject to satisfying Mokrica's applicable eligibility requirements, a Channel may qualify for one or more of the following benefits, including but not limited to:


•    benefit attribution under the TMR Program for eligible Orders generated through the Channel; 
•    bonuses, accumulated incentives, or other reward programs introduced by Mokrica; 
•    access to Channel-specific features, tools, or programs; 
•    eligibility to unlock, expand, or upgrade Channel features upon satisfying the applicable requirements; and 
•    any other benefits announced by Mokrica from time to time. 


Under the TMR Program, benefits shall be recorded for the Channel Owner based on eligible Orders generated through the Channel and only after all applicable program requirements established by Mokrica have been satisfied.


The recording or application of one benefit shall not be interpreted as automatically entitling the Channel or the Channel Owner to any other benefits outside the scope and eligibility requirements of the applicable program.


5.4. Channel Programs and Features


As the Mokrica platform evolves, Mokrica may introduce programs, tools, or features designed to help Channels operate, manage, and grow more effectively.


Such programs or features may include, but are not limited to:


•    Member management tools; 
•    Business management tools; 
•    Order management tools; 
•    customer management tools; 
•    reporting, analytics, and operational statistics tools; 
•    quotation management tools or Channel-specific pricing configuration tools; 
•    Channel-specific pricing policies or pricing mechanisms, subject to applicable eligibility requirements; 
•    automation tools, artificial intelligence (AI), or other technologies; 
•    Channel development programs; 
•    marketing, promotional, or Business connection programs; and 
•    any other features, tools, or programs developed by Mokrica. 


Upon satisfying the applicable eligibility requirements established by Mokrica, a Channel may gain access to or unlock additional features, tools, or operational mechanisms designed to support Channel management, operation, and development.


5.5. Eligibility Requirements for Benefits and Programs


Channel benefits, programs, and features shall only apply when the Channel satisfies the eligibility requirements established by Mokrica.


Such eligibility requirements may be determined based on:


•    the Channel's operational performance; 
•    the number of eligible Orders; 
•    the number of Businesses attributed to the Channel; 
•    the number of Channel Members; 
•    the applicable Moca Package
•    compliance with this Policy and other Mokrica legal documents; and 
•    any other criteria announced by Mokrica from time to time. 


Satisfying one or more eligibility requirements shall not automatically entitle a Channel to all Mokrica benefits, programs, or features.


5.6. Modification of Benefits and Programs


Mokrica reserves the right to introduce, modify, replace, suspend, or discontinue any Channel benefit, program, tool, or feature whenever necessary in order to:


•    maintain the stable operation of the platform; 
•    support Mokrica's business and development strategy; 
•    prevent or address violations; 
•    comply with applicable laws; or 
•    respond to any other reasonable operational requirements. 


Any modification or discontinuation of benefits shall not affect rights or obligations that arose before the effective date of such modification, unless otherwise required by applicable laws or Mokrica's policies.


5.7. Channel Development Support


Mokrica may assist Channel Owners in developing their Channels through tools, programs, guidance materials, training activities, promotional initiatives, or other support programs introduced by Mokrica.


Such support is intended to help Channel Owners make effective use of the Mokrica platform, expand their Member network, connect with Businesses, and develop their Channels in a sustainable manner.


The provision of such support shall not be interpreted as a guarantee by Mokrica that a Channel will achieve any specific level of revenue, number of Orders, number of Members, number of Businesses, or any other business results.

 


6. CHANNEL APPLICATION FOR BUSINESSES


6.1. Application to Businesses


Mokrica encourages Businesses with translation needs to establish and use a Channel to centrally manage their translation activities, build an appropriate network of Translators, and utilize the tools, programs, and support features provided by the Platform.


Businesses that satisfy Mokrica's applicable requirements may establish and use a Channel on the Platform.


The establishment, activation, management, development, and operation of a Business Channel shall be governed by this Policy, including the provisions set out in Sections 1 through 5, unless Mokrica provides otherwise for a specific program, feature, or Service.


A Business's use of a Channel does not create a separate type of Channel, management mechanism, or independent policy other than those provided by Mokrica.


6.2. Purpose and Value of a Channel for Businesses


A Channel is designed to help Businesses centrally manage translation activities on the Mokrica Platform, standardize internal workflows, improve operational efficiency, and reduce dependence on individual personnel.


Depending on their operational needs, Businesses may use a Channel to:


•    Centrally manage translation requests and Orders; 
•    Manage documents, project progress, and Order history; 
•    Build and manage a suitable network of Translators or Members; 
•    Monitor Order activities and performance; 
•    Connect with customers, partners, or other Businesses through Platform features; 
•    Standardize internal translation workflows; 
•    Utilize the tools, programs, and features developed by Mokrica; 
•    Carry out other lawful purposes consistent with their business operations. 


The use of a Channel is not limited by the Business's industry, business sector, or organizational size, provided that such use complies with this Policy and applicable law.


6.3. Channel Management Within a Business


A Business may manage its Channel directly or appoint one or more authorized representatives to manage the Channel based on its organizational structure and operational needs.


Authorized Channel managers may only perform functions within the scope of permissions supported by the Platform or the authorization mechanisms provided by Mokrica from time to time.


Any change in Channel managers or management authority shall not affect the rights, obligations, or responsibilities of the Business under this Policy.


The Business remains responsible for the management of its accounts, administrative permissions, and all activities performed by individuals authorized to manage its Channel.


6.4. Channel Development Within a Business


A Business may actively develop its Channel according to its organizational structure, operational scale, and business requirements through the features provided by Mokrica.


During its operation, a Business may:


•    Invite Members or Translators to join the Channel, subject to the Platform's requirements; 
•    Connect Businesses through programs provided by Mokrica; 
•    Manage Member activities and Orders within the functions supported by the Platform; 
•    Use Channel management, reporting, analytics, and other available tools; 
•    Participate in programs available to Channels; 
•    Access or unlock additional Channel features, tools, and operational mechanisms upon satisfying Mokrica's applicable requirements. 


The development of a Business Channel shall be governed by the provisions set out in Section 3 and Section 5 of this Policy.


6.5. Principles of Application


A Business using a Channel shall have the same rights and obligations as any other Channel Owner under this Policy.


The use of a Channel by a Business shall not alter the principles governing Order recognition, Channel benefits, Platform coordination mechanisms, or any programs implemented by Mokrica.


Benefits, programs, tools, and features available to Businesses shall be applied in accordance with the eligibility requirements of each program and the rules published by Mokrica from time to time.


Mokrica reserves the right to develop, introduce, modify, or expand features, tools, and programs available to Businesses in order to enhance the management and operation of Channels. The application of such features, tools, and programs shall be subject to the conditions and scope determined by Mokrica.

 


7. CHANNEL VIOLATIONS AND TERMINATION


7.1. Prohibited Conduct


Users are responsible for using the Channel for its intended purpose and in compliance with this Policy, Mokrica's legal documents, and applicable laws.


Users shall not use the Channel to engage in prohibited activities, including but not limited to:


•    Providing false, inaccurate, incomplete, fraudulent, or misleading information; 
•    Using the Channel for purposes inconsistent with the intended operation of the Platform; 
•    Committing fraud or abusing Mokrica's programs, benefits, tools, or features; 
•    Interfering with, manipulating, disrupting, or adversely affecting the normal operation of the Platform; 
•    Collecting, using, disclosing, or exploiting the data of other organizations or individuals without authorization; 
•    Infringing upon the lawful rights or interests of Mokrica or any third party; 
•    Violating intellectual property rights; 
•    Using the Channel for any unlawful activity; 
•    Engaging in any other conduct that violates this Policy, Mokrica's legal documents, or applicable laws. 


7.2. Enforcement Measures

 


Based on the nature and severity of the violation, the resulting consequences, system records, and verification results, Mokrica may apply one or more of the following measures:
•    Issue a warning or require corrective action; 
•    Require the User to update, supplement, or verify information; 
•    Restrict or temporarily suspend certain Channel functions; 
•    Temporarily suspend one or more Channel benefits, programs, tools, or features; 
•    Revoke access to one or more Channel features; 
•    Temporarily suspend the operation of the Channel; 
•    Terminate the operation of the Channel; 
•    Apply any other measures permitted under Mokrica's policies or applicable law. 


Mokrica may apply one or more enforcement measures without being required to follow any particular sequence if deemed necessary to protect the lawful rights and interests of Users, Mokrica, or to ensure the safe and stable operation of the Platform.


The enforcement measures provided under this Policy do not limit the simultaneous application of the Terms of Use, Member Agreement, Payment & Moca Policy, Privacy Policy, or any other applicable Mokrica legal documents.


7.3. Temporary Suspension of a Channel


Mokrica may temporarily suspend all or part of a Channel's operation, including but not limited to the following circumstances:


•    There are indications of a violation of this Policy or other Mokrica legal documents; 
•    The Channel is undergoing verification, complaint handling, or dispute resolution; 
•    The Channel no longer satisfies Mokrica's operational requirements; 
•    Suspension is required by a competent governmental authority; 
•    Suspension is necessary to ensure the security, safety, or stability of the Platform; 
•    Technical failures, system maintenance, force majeure events, or similar circumstances occur; 
•    Other circumstances deemed necessary under Mokrica's policies. 


Where a suspected violation may affect the security of the Platform, other Users, or the Channel ecosystem, Mokrica may immediately implement appropriate measures before completing the verification process.


During the suspension period, one or more Channel functions, benefits, programs, or features may be restricted or unavailable.


7.4. Termination of a Channel


Mokrica may terminate the operation of a Channel under any of the following circumstances:


•    At the request of the Channel Owner; 
•    The Channel commits a serious violation or repeatedly violates applicable policies; 
•    The Channel no longer satisfies Mokrica's operational requirements; 
•    As required by or pursuant to a decision of a competent governmental authority; 
•    Other circumstances permitted under Mokrica's policies or applicable laws. 


Termination of a Channel shall not affect any rights, obligations, or liabilities that arose prior to the effective date of termination, unless otherwise provided by applicable law or Mokrica.


7.5. Consequences of Suspension or Termination


Where a Channel is suspended or terminated, Mokrica may implement one or more of the following measures to the extent necessary:


•    Restrict or terminate access to the Channel; 
•    Suspend the application of Channel benefits, programs, tools, or features; 
•    Suspend or discontinue the acceptance of new Orders through the Channel; 
•    Revoke or deactivate Channel administrative privileges; 
•    Suspend or cease the recognition of benefits that would otherwise arise while the Channel fails to satisfy the applicable eligibility requirements; 
•    Store, process, or delete data in accordance with the Privacy Policy and applicable laws; 
•    Implement any other measures necessary to ensure the safe and stable operation of the Platform. 


The suspension or termination of a Channel does not release the User from any financial obligations, contractual obligations, or other responsibilities that arose before the enforcement measures were applied.


7.6. Mokrica's Right to Verify and Enforce


Mokrica reserves the right to evaluate, verify, and determine appropriate enforcement measures based on system records, verification results, relevant documents, and Mokrica's applicable policies.


Users shall cooperate by providing information, documents, explanations, or other reasonable assistance requested by Mokrica during the verification and enforcement process.


Where a User refuses to cooperate, fails to provide requested information, or provides false or misleading information, Mokrica may make its determination based on available system records and other available evidence.


Mokrica's failure to enforce, or delay in enforcing, any provision of this Policy shall not be construed as a waiver of its right to enforce such provision or any other provision of this Policy or applicable law in the future.

 


8. OTHER LEGAL PROVISIONS


8.1. Relationship with the Terms of Use


This Policy forms an integral part of the Mokrica Terms of Use and governs the establishment, management, development, and use of Channels on the Mokrica Platform.


Users are responsible for complying with this Policy together with the Terms of Use and all other applicable Mokrica legal documents.


For matters not expressly provided for, or not fully addressed in this Policy, the applicable provisions of the Terms of Use, other Mokrica legal documents, and applicable laws shall govern.


8.2. Limitation of Liability in Channel Operations


The Channel is a feature of the Mokrica Platform designed to assist Users in managing, developing, and operating translation-related activities through the functions provided by the Platform.


Unless otherwise required by applicable law, Mokrica does not represent or guarantee that:


•    A Channel will always achieve the operational results, revenue, or performance expected by the User; 
•    A User will continuously receive Orders, Members, Businesses, or benefits through the Channel; 
•    Any Channel features, programs, or tools will remain permanently available or continue to be provided. 


Users are solely responsible for their own decisions regarding the management, operation, and use of their Channels in accordance with this Policy.


8.3. Channel Data and Operational Records


Data recorded by the Mokrica Platform shall serve as the primary basis for determining Channel activities, including but not limited to:


•    Channel information; 
•    Members; 
•    Businesses; 
•    Orders; 
•    Transactions; 
•    Programs, benefits, and other activities conducted through the Platform. 


In the event of any inconsistency between information provided by a User and the records maintained by the Mokrica Platform, the Platform's records shall prevail for review and processing purposes, unless otherwise required by applicable law or supported by valid legal evidence demonstrating otherwise.


Users are responsible for reviewing, updating, and promptly notifying Mokrica of any inaccurate information or errors relating to their Channel.


8.4. Application of Other Legal Provisions


Matters relating to Users' rights and obligations, limitation of liability, dispute resolution, governing law, force majeure, effectiveness of legal provisions, and other legal matters not specifically addressed in this Policy shall be governed by the Mokrica Terms of Use and other applicable Mokrica legal documents.

 


9. FINAL PROVISIONS


9.1. Effective Date of this Policy


This Policy shall become effective from the date it is published by Mokrica on the Platform or from such other effective date specified in Mokrica's notice.


A User's continued establishment, management, development, or use of a Channel after this Policy becomes effective shall constitute the User's acknowledgment that they have read, understood, and agreed to be bound by the terms of this Policy.


9.2. Amendments to this Policy


Mokrica reserves the right to amend, supplement, or update this Policy from time to time in order to reflect the development of the Platform, the introduction or modification of features, operational requirements, applicable laws, or other business needs.


Any amended, supplemented, or updated version of this Policy shall be published by Mokrica through appropriate means and shall become effective on the date of publication or on such effective date specified in the relevant notice.


From the effective date of a new version, such version shall replace the corresponding provisions of any previous version, unless otherwise specified by Mokrica.


A User's continued use of the Channel after an updated version of this Policy becomes effective shall constitute acceptance of such amendments, supplements, or updates.


9.3. Interpretation and Application


This Policy shall be interpreted and applied consistently with the Mokrica Terms of Use and other applicable Mokrica legal documents.


Where any matter is not expressly addressed by this Policy or is capable of more than one reasonable interpretation, Mokrica reserves the right to interpret and apply this Policy based on its purpose, the relevant legal documents, and applicable laws.


The addition, modification, suspension, or discontinuation of one or more Channel features, tools, or programs by Mokrica shall not, by itself, constitute an amendment to this Policy unless such changes create or modify the rights or obligations of Users under this Policy.


9.4. Language and Final Provisions


This Policy may be made available in multiple languages for the convenience of Users. In the event of any inconsistency between different language versions, the Vietnamese version shall prevail, unless otherwise required by applicable law or expressly announced by Mokrica.


If any provision of this Policy is determined to be invalid, unenforceable, or ineffective under applicable law, such provision shall be severed only to the extent necessary and shall not affect the validity or enforceability of the remaining provisions of this Policy.


Any matters not specifically addressed in this Policy shall be governed by the Mokrica Terms of Use, other applicable Mokrica legal documents, and applicable laws.

INTRODUCTION


1.1. Purpose


This Payment & Moca Policy sets out the principles governing the use of Moca, Moca Packages, payments, Moca Budget restoration, commissions, rewards, accrued benefits, withdrawals, and other financial matters arising from the use of the Services provided by Mokrica.


This Policy is intended to ensure that transactions conducted on the Mokrica platform are transparent, consistent, secure, and compliant with applicable laws.


1.2. Scope of Application


This Policy applies to all Users, Members, Translators, Channel Owners, businesses, and any other individuals or organizations that use Moca, Moca Packages, or engage in financial transactions through the Mokrica platform, unless otherwise provided under a separate agreement or policy published by Mokrica.


1.3. Governing Principles


The use of Moca, the processing of payments, and all financial transactions conducted on the platform shall be governed by this Payment & Moca Policy, the Terms of Use, and all other applicable agreements, policies, and legal documents issued by Mokrica, as well as applicable laws.


Where there is any inconsistency between this Policy and another specialized legal document issued by Mokrica with respect to the same subject matter, the specialized legal document shall prevail within the scope of its application.


Any matter not expressly addressed in this Policy shall be governed by the Terms of Use, the applicable agreements and policies issued by Mokrica, and applicable laws.


1.4. Effectiveness of this Policy


This Payment & Moca Policy forms an integral part of the Terms of Use, Member Agreement, Translator Agreement, Channel Policy, and other legal documents issued by Mokrica.


By continuing to use Moca, Moca Packages, or conduct transactions through the Mokrica platform after this Policy becomes effective, the User acknowledges that they have read, understood, and agreed to be bound by this Policy.


Mokrica reserves the right to amend, supplement, or update this Policy from time to time. Any amendment shall become effective on the date it is published by Mokrica or communicated through an appropriate notification method, unless otherwise specified.

 


2. MOCA


2.1. Moca Overview


Moca is an internal budget mechanism implemented by Mokrica to enable Users to access and use the Services available on the platform in accordance with the scope and conditions established by Mokrica.


Moca may be used for transactions relating to the Services, including, but not limited to, creating Translation Orders, accessing features that require Moca, and conducting other transactions made available by Mokrica.


2.2. Moca Conversion Value


For the purposes of the Mokrica platform:


1 Moca = USD 1.00


This conversion value is used solely to determine the Moca Budget, transaction values, and other financial matters within the Mokrica platform.


This conversion does not grant any right to redeem or convert Moca directly into cash, monetary value, or any other asset, unless otherwise expressly provided by Mokrica.


2.3. Nature of Moca


Moca is an internal budget mechanism designed solely to facilitate the use of the Services available on the Mokrica platform.


Unless otherwise expressly provided by Mokrica or required by applicable laws, Moca is not:


•    Money or foreign currency. 
•    A means of payment. 
•    Electronic money (e-money), cryptocurrency, or any digital currency. 
•    An electronic wallet (e-wallet) or payment account. 
•    A security, investment asset, or financial product. 
•    Any other asset that may be independently transferred, traded, or circulated under applicable laws. 


The allocation or use of Moca does not create any ownership right, payment claim, redemption right, or any right to convert Moca into cash, assets, or any payment instrument, unless otherwise expressly provided by Mokrica or required by applicable laws.


2.4. "Use First – Pay Later" Program


Depending on the applicable Service, Moca Package, or promotional program, Mokrica may allocate Moca to a User before payment is required.


The use of Moca under the "Use First – Pay Later" program gives rise to the User's obligation to pay for the amount of Moca that has been used in accordance with this Policy and the applicable terms published by Mokrica.


The eligibility requirements, allocation of Moca, timing of payment obligations, payment methods, and Moca Budget restoration are governed by this Policy.


2.5. Permitted Use of Moca


Users may use Moca only for the Services, features, and transactions made available by Mokrica.


Moca must be used solely for its intended purpose, within the allocated Moca Budget, and in accordance with these Terms of Use, this Payment & Moca Policy, and all other applicable legal documents issued by Mokrica.


2.6. Restrictions on the Use of Moca


Unless otherwise expressly provided by Mokrica or required by applicable laws, Moca may not be used to:


•    Make payments outside the scope of the Services provided by Mokrica. 
•    Transfer, sell, exchange, pledge, or otherwise use Moca as an independent asset. 
•    Conduct unlawful transactions or engage in activities that violate Mokrica's policies. 
•    Misuse Moca for fraudulent purposes, improper gain, or any conduct that may adversely affect the operation of the Mokrica platform. 


Mokrica reserves the right to reject, restrict, suspend, or take appropriate action against any use of Moca that violates this Payment & Moca Policy, the Terms of Use, or any other applicable legal documents.

 


3. MOCA PACKAGES


3.1. Moca Package Overview


A Moca Package is a program offered by Mokrica that grants Users a Moca Budget to access and use the Services available on the platform, subject to the scope, eligibility requirements, and conditions applicable to each package.


Each Moca Package may specify its own Moca Budget, validity period, activation requirements, eligible Users, and corresponding usage rights, as determined by Mokrica.


3.2. Types of Moca Packages


Mokrica may offer one or more types of Moca Packages depending on the applicable program, category of Users, or intended purpose.


Moca Packages may include Trial Moca Packages, Purchased Moca Packages, Promotional Moca Packages, and any other Moca Packages introduced by Mokrica from time to time.


Details regarding the Moca Budget, validity period, eligibility requirements, usage rights, and other applicable terms of each Moca Package will be published or communicated by Mokrica for the relevant program.


3.3. Activation of a Moca Package


A Moca Package will be activated once the User satisfies all applicable eligibility requirements and Mokrica confirms the activation in accordance with the procedures of the relevant program.


The activation date of a Moca Package shall determine the applicable Moca Budget, validity period, usage rights, and other applicable conditions of that package, unless otherwise specified by Mokrica.


3.4. Validity Period of a Moca Package


Each Moca Package may have a different validity period depending on its type, the applicable program, or Mokrica's policies.


Upon expiration of the validity period, or where a Moca Package is otherwise terminated in accordance with its applicable terms, any usage rights arising from that package shall be handled in accordance with the relevant program conditions or Mokrica's policies.


3.5. Rights Associated with a Moca Package


Upon activation of a Moca Package, the User is entitled to use the allocated Moca Budget in accordance with the scope and conditions applicable to that package.


Depending on the applicable Moca Package, the User may be entitled to:


•    Participate in the "Use First – Pay Later" program, subject to the applicable conditions. 
•    Create and manage Translation Orders
•    Access and use Services and features that require Moca
•    Prepare and manage quotations, invoices, and other related documents within the scope of the relevant Services. 
•    Receive system recommendations for eligible Translation Orders in the capacity of a Translator, based on language pairs, areas of expertise, applicable eligibility requirements, and the order allocation criteria established by Mokrica. 
•    Conduct other transactions made available by Mokrica within the scope of the applicable Moca Package


Activation of a Moca Package grants only the right to use Moca within the scope of that package and does not automatically entitle the User to receive Commissions, Rewards, CDR, TMR, Compensation, or any other accrued benefits.


Commissions, Rewards, CDR, TMR, Compensation, and other accrued benefits are recorded only when the User uses Moca to create Translation Orders, use the Services, and satisfies all applicable requirements under the relevant program, policy, or agreement issued by Mokrica.


3.6. Upgrading a Moca Package


Where permitted by Mokrica, a User may upgrade their Moca Package in accordance with the applicable conditions and procedures published by Mokrica.


An upgrade may change the Moca Budget, usage rights, or other applicable conditions of the upgraded Moca Package.


Unless otherwise specified by Mokrica, upgrading a Moca Package shall not affect any financial obligations that arose prior to the effective date of the upgrade.


3.7. Modification and Termination of Moca Packages


Mokrica reserves the right to introduce, modify, replace, suspend, or discontinue one or more Moca Packages to meet operational requirements, support the development of the platform, or comply with applicable laws.


For Moca Packages activated before such modification or discontinuation takes effect, the applicable package terms or Mokrica's official notice shall govern their continued use.


3.8. Mokrica's Discretion Regarding Moca Packages


Mokrica reserves the right to determine the issuance, availability, modification, upgrade, replacement, suspension, or discontinuation of any Moca Package based on its business policies, operational requirements, risk management considerations, or applicable legal requirements.


A User's past or current use of a Moca Package does not create any right to require Mokrica to continue offering, renew, restore, or maintain that Moca Package, unless Mokrica expressly agrees or otherwise provides.

 


4. USE OF MOCA


4.1. Scope of Moca Use


Within the scope of the usage rights granted under an activated Moca Package, a User may use Moca to conduct transactions relating to the Services available on the Mokrica platform, subject to the applicable terms of the relevant Moca Package and Service.


The use of Moca may include, but is not limited to:


•    Creating and managing Translation Orders
•    Using Services that require Moca
•    Preparing and managing quotations. 
•    Preparing and managing invoices. 
•    Preparing and managing related documents. 
•    Using other features made available by Mokrica. 


4.2. "Use First – Pay Later" Program


For Services that support Moca, Users may use their Moca Budget under the "Use First – Pay Later" program, subject to the remaining available Moca Budget of their activated Moca Package.


The use of Moca under this program is based solely on the usage rights granted by the activated Moca Package and does not create or transfer any ownership rights in Moca.


The use of Moca shall not be construed as a loan, credit facility, investment, deferred payment arrangement, or any other form of financial credit under applicable laws, unless otherwise required by law.


4.3. Payment Obligations


A User's use of Moca to create Translation Orders, access the Services, or conduct any transaction involving Moca in accordance with Mokrica's policies constitutes the User's confirmation and acceptance of the corresponding payment obligation for the amount of Moca used.


Before confirming any transaction, the User is responsible for reviewing all relevant information, including but not limited to the Translation Order, quotation, invoice, transaction value, and any other information relating to the use of Moca.


Once a transaction has been successfully completed in accordance with the platform's operating procedures, the User shall make full and timely payment for the amount of Moca used in accordance with this Payment & Moca Policy, unless the transaction is affected by a system error attributable to Mokrica or another circumstance expressly provided by applicable laws or Mokrica's policies.


Fulfillment of the applicable payment obligation is the basis for Mokrica to restore the User's Moca Budget and apply any other rights and obligations under this Policy.


4.4. User Responsibilities


Users are responsible for using Moca for its intended purpose, within the allocated Moca Budget, and in accordance with these Terms of Use, this Payment & Moca Policy, and all other applicable legal documents issued by Mokrica.


Users must not:


•    Use Moca for any purpose or in any manner beyond its permitted scope. 
•    Engage in fraud or abuse involving the Moca program or any Moca Package
•    Create fictitious transactions or misuse the platform for improper gain. 
•    Engage in any unlawful conduct or conduct that adversely affects the operation of the platform. 


Users are responsible for all transactions conducted through their Account, unless they can demonstrate that the transaction resulted from a system error attributable to Mokrica or another circumstance expressly confirmed by Mokrica.


4.5. Restriction or Refusal of Moca Use


Mokrica reserves the right to restrict or refuse the use of Moca in any of the following circumstances:


•    The User no longer satisfies the eligibility requirements of the applicable Moca Package or program. 
•    The Moca has expired or the available Moca Budget has been exhausted. 
•    The User's Account has been restricted, suspended, or terminated in accordance with the applicable rules. 
•    Mokrica has reasonable grounds to believe that the use of Moca involves fraud, abuse, or a violation of Mokrica's policies or applicable laws. 
•    Any other circumstance provided by Mokrica or required by a competent governmental authority.


4.6. Changes to the Use of Moca


Mokrica reserves the right to modify the scope of Moca use, eligibility requirements, Moca Budget, features that support Moca, or any related matters as necessary to meet operational requirements, manage risks, develop the platform, or comply with applicable laws.


Any such changes will be published or communicated by Mokrica through an appropriate notification method before or upon implementation, depending on the nature of the change.


Unless otherwise required by applicable laws or expressly provided by Mokrica, such changes shall not affect any rights, obligations, or liabilities that arose before the effective date of the change.


4.7. Recording of Moca Transactions


All transactions involving the use of Moca are recorded and maintained by the Mokrica platform in accordance with its operating procedures.


The transaction records maintained by the platform serve as the basis for:


•    Determining the amount of Moca used. 
•    Determining the User's payment obligations. 
•    Restoring the applicable Moca Budget
•    Recording Commissions, Rewards, CDR, TMR, Compensation, and other accrued benefits, where the applicable eligibility requirements are satisfied. 
•    Reconciling transaction records, handling complaints, and resolving disputes. 


If any discrepancy arises between the transaction records maintained by the platform and a User's complaint, Mokrica will review the matter based on the system records together with any relevant documents and evidence, in accordance with applicable laws.

 


5. PAYMENT AND MOCA BUDGET RESTORATION


5.1. Payment Principles


Users are required to pay only for the amount of Moca actually used to create Translation Orders, access the Services, or conduct transactions involving Moca in accordance with Mokrica's policies.


The allocation of a Moca Budget, activation of a Moca Package, or the existence of any unused Moca Budget does not, by itself, create any payment obligation.


The amount payable shall be determined based on the amount of Moca actually used, the transactions recorded by the Mokrica platform, and the terms applicable to the relevant Service or program.


5.2. Payment Obligations


A User's use of Moca to create Translation Orders, access the Services, or conduct any transaction involving Moca constitutes the User's confirmation and irrevocable commitment to fulfill the corresponding payment obligation for the amount of Moca used.


Once a transaction has been established in accordance with the platform's operating procedures, the User shall fulfill the applicable payment obligation in full and on time and may not refuse payment for the amount of Moca used, unless the transaction is cancelled, adjusted, or otherwise resolved with Mokrica's approval or as required by applicable laws.


From the moment a Translation Order created using Moca is successfully established by the Mokrica platform, the respective rights and obligations of the User in relation to that Translation Order shall also be governed by the Terms of Use, Member Agreement, Translator Agreement, Channel Policy (where applicable), and any other applicable legal documents issued by Mokrica.


5.3. Cancellation of Translation Orders


A User may request cancellation of a Translation Order before it has been accepted by a Translator or other Service provider, subject to Mokrica's applicable procedures and requirements.


Once a Translation Order has been accepted by a Translator or other Service provider, the User may not unilaterally cancel the Translation Order, unless otherwise approved by Mokrica or required by applicable laws.


Acceptance of a Translation Order by a Translator or other Service provider constitutes confirmation that performance of the Services has commenced and gives rise to the respective rights, obligations, and responsibilities of the parties in accordance with Mokrica's policies.


Where a Translation Order has been accepted, the Services may have been performed in whole or in part. Cancellation at this stage may adversely affect the lawful rights and interests of the User, the Translator, the Channel Owner (if applicable), Mokrica, and other relevant parties. Accordingly, Mokrica reserves the right to reject any cancellation request or take any appropriate measures necessary to protect the lawful rights and interests of the parties involved.


Where a Translation Order has been accepted and the Services have been performed in whole or in part, Mokrica may determine the scope of the Services performed, the corresponding payment obligation, and the appropriate resolution of the Translation Order based on the actual work completed, implementation progress, any agreement between the parties, system records, and other relevant documents or evidence.


Cancellation of a Translation Order does not release the User from any payment obligation or other financial obligation that arose prior to the effective cancellation of the Translation Order, unless otherwise determined by Mokrica or required by applicable laws.


Users must not misuse cancellation requests, refund requests, or any other mechanism to avoid payment obligations, abuse the Moca program, or adversely affect the lawful rights and interests of Translators, Channel Owners, Mokrica, or any other relevant parties.


The rights and obligations of a Translator relating to the acceptance, performance, suspension, or termination of the Services are governed by the Translator Agreement. For Translation Orders created through a Channel, the rights and obligations of the Channel Owner are governed by the Channel Policy.


Any decision by Mokrica regarding the continuation, suspension, cancellation, or resolution of a Translation Order under this Section shall be made in a fair, transparent, and reasonable manner, with due consideration for the lawful rights and interests of all relevant parties.


5.4. Payment Methods


Users may make payments using any payment method supported by Mokrica from time to time.


Mokrica reserves the right to add, modify, or discontinue one or more payment methods as necessary to meet operational requirements, support platform development, or comply with applicable laws.


Any fees charged by a payment service provider (if applicable) shall be governed by the terms of that provider or any notice published by Mokrica.


5.5. Moca Budget Restoration


Once the User has fully satisfied the applicable payment obligation for the amount of Moca used and the transaction meets all applicable requirements, Mokrica will restore the corresponding Moca Budget under the applicable Moca Package or program.


Moca Budget restoration is based solely on the amount of Moca for which the User has fulfilled the payment obligation and shall not exceed the maximum Moca Budget available under the applicable Moca Package, unless otherwise specified by Mokrica.


The restoration of the Moca Budget serves solely to reinstate the User's right to continue using the allocated Moca Budget under the applicable Moca Package. It does not constitute the allocation of additional Moca, a monetary refund, reimbursement of the Moca Package value, or the creation of any other financial right in favor of the User.


Restoration of the Moca Budget does not modify the applicable Moca Package, its allocated Moca Budget, or any associated usage rights.


5.6. Payment of the Outstanding Balance


Where the remaining Moca Budget is insufficient to complete a transaction, the User may choose to:


•    Upgrade the applicable Moca Package in accordance with Mokrica's policies; or 
•    Pay the outstanding amount online using a payment method supported by Mokrica. 


Payment of the outstanding amount is made solely for the purpose of completing the relevant transaction and does not modify the applicable Moca Package, the allocated Moca Budget, or the associated usage rights, unless the User elects to upgrade the Moca Package.


5.7. Changes to Payment Procedures and Moca Budget Restoration


Mokrica reserves the right to modify its payment procedures, Moca Budget restoration requirements, payment methods, or any related matters as necessary to meet operational requirements, manage risks, develop the platform, or comply with applicable laws.


Any such changes will be published or communicated by Mokrica through an appropriate notification method before or upon implementation, depending on the nature of the change.
Unless otherwise required by applicable laws or expressly provided by Mokrica, such changes shall not affect any rights, obligations, or liabilities that arose before the effective date of the change.

 


6. COMPENSATION, COMMISSIONS, REWARDS, AND OTHER ACCRUED BENEFITS


6.1. Principles of Recognition


Once a Translation Order has been completed and all applicable requirements established by Mokrica have been satisfied, the Mokrica platform may record Compensation, Commissions, Rewards, CDR, TMR, and other accrued benefits arising from that Translation Order.


The recognition of any financial benefits shall be determined based on the User's role in the relevant Translation Order, the eligibility requirements of the applicable program, and Mokrica's policies.


The allocation of a Moca Package, the use of Moca to create a Translation Order, the acceptance of a Translation Order, or participation in a Channel does not, by itself, entitle a User to any financial benefit described in this Section.


6.2. Recognition of Financial Benefits


A User may perform one or more roles on the Mokrica platform while creating Translation Orders, providing Services, or participating in a Channel.


Depending on the User's role and the eligibility requirements of the applicable program, the Mokrica platform may record one or more financial benefits, including but not limited to:


•    Compensation
•    Commissions
•    Rewards
•    CDR
•    TMR
•    Other accrued benefits or financial incentives published by Mokrica. 


Recognition of one financial benefit does not limit the User's eligibility to receive other financial benefits, provided that the User simultaneously satisfies the applicable requirements of multiple roles or programs established by Mokrica.


6.3. Recognition Based on Programs and User Roles


For Users who use Moca to create Translation Orders, the Mokrica platform may record Commissions, Rewards, CDR, or other accrued benefits once the Translation Order has been completed and all applicable program requirements have been satisfied.


For Users who directly accept and complete Translation Orders in the capacity of a Translator, the Mokrica platform may record Compensation in accordance with the applicable provisions of the Translator Agreement.


For Translation Orders created through a Channel, the Channel Owner may receive TMR or other financial benefits in accordance with the Channel Policy and the applicable programs.


The eligibility requirements, scope of recognition, calculation methods, recorded values, and all other matters relating to each type of financial benefit shall be governed by the Member Agreement, Translator Agreement, Channel Policy, and any applicable programs published by Mokrica from time to time.


6.4. Adjustment, Refusal, or Reversal of Financial Benefits


Mokrica reserves the right to suspend, adjust, refuse, or reverse all or part of any Compensation, Commissions, Rewards, CDR, TMR, or other accrued benefits in any of the following circumstances:


•    The Translation Order does not satisfy the applicable eligibility requirements. 
•    The transaction is cancelled, refunded, or otherwise adjusted. 
•    Mokrica has reasonable grounds to determine that fraud, misrepresentation, abuse of any program, or any violation of Mokrica's policies has occurred. 
•    The transaction is subject to verification, complaint handling, or dispute resolution. 
•    The User has violated the Terms of Use, Member Agreement, Translator Agreement, Channel Policy, or any other policy issued by Mokrica. 
•    Any other circumstance provided by applicable laws or Mokrica's policies. 


Any adjustment or reversal of recorded financial benefits shall not limit Mokrica's right to take any other enforcement measures available under applicable laws or the relevant legal documents.


6.5. Relationship Between Recognition and Payment


The recording of Compensation, Commissions, Rewards, CDR, TMR, or any other accrued benefits by the Mokrica platform does not mean that such amounts have been paid or are immediately available for withdrawal.


The payment, withdrawal, payment schedule, eligibility requirements for payment, and all related matters shall be governed by Mokrica's policies and the applicable legal documents.

 


7. PAYMENTS AND WITHDRAWALS


7.1. Principles of Payment and Withdrawal


Compensation, Commissions, Rewards, CDR, TMR, and other accrued benefits recorded by the Mokrica platform in accordance with this Payment & Moca Policy may become eligible for payment or withdrawal only after all applicable requirements established by Mokrica have been satisfied.


The recording of any financial benefit does not mean that such amount is immediately eligible for payment or withdrawal.


Mokrica reserves the right to determine the eligibility requirements, procedures, payment methods, payment schedule, transaction limits, and all other matters relating to payments and withdrawals in order to ensure system security, manage operational risks, protect the lawful rights and interests of all relevant parties, and comply with applicable laws.


7.2. Eligibility for Payment and Withdrawal


A User may submit a withdrawal request for financial benefits that have been recorded by the Mokrica platform and have become eligible for payment in accordance with Mokrica's policies.


To be eligible for payment or withdrawal, the User shall satisfy all applicable requirements, including but not limited to:


•    Completing account verification as required by Mokrica. 
•    Providing complete, accurate, and up-to-date payment information. 
•    Not being subject to any suspension, transaction restriction, or enforcement measure. 
•    Having no transaction that is undergoing verification, complaint handling, dispute resolution, or refund processing which may affect the requested payment. 
•    Satisfying any other requirements published by Mokrica from time to time. 


7.3. Payment Methods and Procedures


Mokrica processes payments through payment service providers or other payment methods supported by Mokrica from time to time.


Mokrica reserves the right to establish or modify the payment procedures, minimum payment threshold, processing time, payment methods, transaction limits, and any other applicable requirements as necessary to meet operational needs, manage risks, or comply with applicable laws.


Users are responsible for ensuring that all payment information provided is complete, accurate, valid, and up to date. Mokrica shall not be liable for any loss or damage arising from inaccurate, incomplete, or outdated payment information provided by the User.


7.4. Suspension, Withholding, or Refusal of Payment


Mokrica reserves the right to withhold, suspend, or refuse payment of all or part of any financial benefit under any of the following circumstances:


•    Mokrica has reasonable grounds to believe that a transaction involves fraud, misrepresentation, or abuse of the platform. 
•    The transaction is undergoing verification, complaint handling, dispute resolution, or refund processing. 
•    The User has not completed the required account verification or has failed to satisfy the applicable payment requirements. 
•    The User has violated the Terms of Use, Member Agreement, Translator Agreement, Channel Policy, or any other legal document issued by Mokrica. 
•    Payment is restricted or prohibited by a competent governmental authority or required by applicable laws. 
•    Any other circumstance necessary to protect the lawful rights and interests of the User, Mokrica, or any relevant party. 


The withholding, suspension, or refusal of payment does not, by itself, permanently terminate the User's eligibility to receive the relevant financial benefits. Once the underlying reason has been resolved and the User satisfies all applicable requirements, Mokrica will continue to process the payment request in accordance with the applicable procedures.


7.5. User Responsibilities


Users are responsible for:


•    Providing and maintaining complete, accurate, valid, and up-to-date payment information. 
•    Cooperating with Mokrica during account verification and the resolution of any matters relating to payments or withdrawals. 
•    Fulfilling all applicable tax obligations, fees, and other financial obligations required by applicable laws, unless otherwise provided by law or Mokrica. 
•    Bearing responsibility for any loss or damage arising from their own acts, omissions, or errors in connection with receiving payments. 


7.6. Changes to Payment and Withdrawal Procedures


Mokrica reserves the right to modify the eligibility requirements, procedures, payment methods, processing time, transaction limits, or any other matters relating to payments and withdrawals as necessary to meet operational requirements, manage risks, develop the platform, or comply with applicable laws.


Any such changes will be published or communicated by Mokrica through an appropriate notification method before or upon implementation, depending on the nature of the change.


Unless otherwise required by applicable laws or expressly provided by Mokrica, such changes shall not affect any rights or obligations that arose before the effective date of the change.

 


8. GENERAL PROVISIONS


8.1. Scope of Application


This Payment & Moca Policy forms an integral part of the Terms of Use, Member Agreement, Translator Agreement, Channel Policy, and all other legal documents published by Mokrica from time to time.


By using Moca, any Moca Package, or any Services or features relating to payments, the recognition of financial benefits, payments, or withdrawals on the Mokrica platform, the User acknowledges that they have read, understood, and agreed to be bound by this Policy together with all other applicable legal documents.


8.2. Order of Precedence


Where the same subject matter is governed by more than one legal document issued by Mokrica, the following order of precedence shall apply:


•    Matters relating to Moca, Moca Packages, payments, Moca Budget Restoration, the recognition of financial benefits, payments, and withdrawals shall be governed primarily by this Payment & Moca Policy
•    Matters relating to the rights and obligations of Members, Translators, Channel Owners, or the general use of the Mokrica platform shall be governed by the Terms of Use, Member Agreement, Translator Agreement, Channel Policy, and any other applicable legal documents. 


In the event of any inconsistency between Mokrica's legal documents, Mokrica reserves the right to determine the applicable document based on its scope of application and applicable laws.


8.3. Amendments to this Policy


Mokrica reserves the right to amend, supplement, or update this Payment & Moca Policy, in whole or in part, as necessary to meet operational requirements, support platform development, manage risks, or comply with applicable laws.


Any amendment, supplement, or update will be published on the Mokrica platform or communicated through an appropriate notification method and shall become effective on the date of publication or on such other effective date specified in the relevant notice, unless otherwise required by applicable laws.


The User's continued use of Moca, any Moca Package, or any related Services after this Policy has been updated constitutes the User's acceptance of the amended, supplemented, or updated Policy.
